The Telecommunication Engineer engaged under this Purchase Order must hold a minimum of a Bachelor's degree in Telecommunications Engineering, Electronics Engineering, or a closely related discipline from an accredited institution in Venezuela or internationally recognized. The Telecommunication Engineer shall possess a minimum of eight (8) years of progressive professional experience in the design, deployment, and management of telecommunications networks, with at least three (3) years of direct experience working on infrastructure projects in Venezuela Caracas or comparable metropolitan environments in South America. The Telecommunication Engineer must be fluent in Spanish for all on-site coordination with local municipal authorities, utility companies, and CONATEL representatives in Venezuela Caracas. Proficiency in English is required for technical documentation and reporting purposes under this Purchase Order.

The Telecommunication Engineer shall be responsible for the following key deliverables: (a) completion of all engineering designs and technical specifications for the telecommunications infrastructure projects listed in Section 2; (b) supervision and direct oversight of all field installation activities conducted in Venezuela Caracas; (c) preparation of comprehensive as-built documentation, network topology diagrams, and performance test reports; (d) coordination with the Buyer's internal operations team to ensure seamless integration of new systems with existing network assets; and (e) provision of a final acceptance report certifying that all installations in Venezuela Caracas meet or exceed the performance thresholds specified in this Purchase Order.

• Payment Schedule: Payment for this Purchase Order shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of all installation and deployment activities in Venezuela Caracas, and 30% upon final acceptance and delivery of all documentation by the Telecommunication Engineer.
• Payment Method: All payments shall be made via wire transfer to the Vendor's designated bank account in Venezuela. The Vendor shall provide a valid invoice referencing this Purchase Order number (PO-VC-2025-00487) for each payment request.
• Currency: All amounts stated in this Purchase Order are denominated in United States Dollars (USD). Exchange rate fluctuations shall be the sole responsibility of the Vendor.
• Payment Due Date: Each installment shall be due within fifteen (15) business days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month.
• Taxes: All applicable Venezuelan taxes, including IVA (Impuesto al Valor Agregado) at the rate of 16%, shall be included in the unit prices stated in this Purchase Order unless otherwise noted.

• The Vendor shall maintain strict confidentiality regarding all network architectures, customer data, and proprietary information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
• In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to binding arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
• This Purchase Order shall remain in full force and effect from the date of issue until the completion of all obligations by both parties, including the final payment and delivery of all deliverables by the Telecommunication Engineer.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Buyer authorizes the Vendor to commence the engagement of the Telecommunication Engineer for the telecommunications infrastructure projects in Venezuela Caracas as described herein. The Vendor confirms that the Telecommunication Engineer meets all qualifications, certifications, and professional requirements specified in this Purchase Order and is fully authorized to perform the services on behalf of the Vendor.
