This Purchase Order is issued by Saigon Digital Infrastructure Co., Ltd. to Global Telecom Solutions Pte. Ltd. for the procurement of Telecommunication Engineer professional services, specialized equipment, and related technical support required for the deployment and maintenance of a next-generation fiber-optic and 5G telecommunications network infrastructure in Vietnam Ho Chi Minh City. The Telecommunication Engineer services covered under this Purchase Order include but are not limited to network design consultation, on-site installation supervision, signal calibration, system integration testing, and a minimum of twelve (12) months of post-deployment technical support. All work associated with this Purchase Order shall be performed in compliance with the regulations set forth by the Ministry of Information and Communications of Vietnam and the local authorities of Vietnam Ho Chi Minh City.

All Telecommunication Engineer personnel assigned under this Purchase Order shall report to the project site located at the Saigon Digital Infrastructure headquarters and its associated network nodes throughout Vietnam Ho Chi Minh City, including but not limited to District 1, District 3, District 7, and the Binh Tan District. The supplier shall ensure that every Telecommunication Engineer deployed to Vietnam Ho Chi Minh City holds valid work permits, professional certifications (CCNA, CCNP, or equivalent), and meets the minimum experience requirements stipulated in the attached technical specification annex. The supplier is responsible for all visa processing, work permit applications, and local registration formalities required for the Telecommunication Engineer team to legally operate within Vietnam Ho Chi Minh City.

Payment for this Purchase Order shall be made in three (3) installments: (a) 30% advance payment upon signing and confirmation of this Purchase Order; (b) 50% upon successful completion of installation and commissioning of all Telecommunication Engineer deliverables in Vietnam Ho Chi Minh City; and (c) 20% upon satisfactory completion of the twelve-month post-deployment support period. All payments shall be made via international wire transfer to the supplier's designated bank account. Late payments shall incur a penalty of 1.5% per month. The supplier shall issue a valid commercial invoice referencing this Purchase Order number (PO-VNM-HCM-2025-04782) for each payment milestone.

The supplier warrants that all Telecommunication Engineer services rendered under this Purchase Order shall conform to ITU-T, 3GPP, and TCVN (Vietnamese National Standard) specifications. A formal acceptance inspection shall be conducted by the buyer's designated quality assurance team in Vietnam Ho Chi Minh City within ten (10) business days of the supplier's completion notice. Any non-conformities identified during inspection must be rectified by the supplier's Telecommunication Engineer team at no additional cost to the buyer within fifteen (15) calendar days.

This Purchase Order is valid for a period of sixty (60) days from the date of issue. This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through arbitration under the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City. Both parties acknowledge that the Telecommunication Engineer services described herein constitute a critical infrastructure project and agree to maintain strict confidentiality of all technical data, network topologies, and operational parameters associated with the Vietnam Ho Chi Minh City deployment.
