This Purchase Order is issued to formally authorize and request the engagement of a certified Translator Interpreter professional to provide comprehensive linguistic support services in Brazil, Brasília. The Translator Interpreter shall be responsible for facilitating real-time oral interpretation and written translation between English and Brazilian Portuguese during a series of bilateral trade negotiations, diplomatic briefings, and multistakeholder conference sessions scheduled to take place at the Palácio do Itamaraty and the Centro de Convenções Ulysses Guimarães in Brasília, Federal District, Brazil.
The Translator Interpreter engaged under this Purchase Order must hold a minimum of ten (10) years of professional experience in simultaneous and consecutive interpretation, with demonstrated expertise in international trade law, economic policy, and diplomatic protocol. The Translator Interpreter shall be a native speaker of Brazilian Portuguese with full professional proficiency in English (C2 level or equivalent) and shall possess a valid certification from the Brazilian Federal Council of Translators and Interpreters (CREFICI) or an equivalent internationally recognized credential.
All interpretation and translation services shall be delivered on-site in Brazil, Brasília, at the venues specified in the attached itinerary. The Translator Interpreter is expected to arrive in Brasília no later than 48 hours prior to the commencement of the first scheduled session to conduct venue familiarization, review preliminary briefing materials, and coordinate technical equipment requirements with the event organizers in Brasília.

- Acceptance: This Purchase Order constitutes a binding offer. The Supplier shall confirm acceptance of all terms by signing and returning a copy of this Purchase Order within five (5) business days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Service Delivery: The Translator Interpreter shall render all services in Brazil, Brasília, in strict accordance with the schedule outlined in Section 3. Any deviation from the agreed schedule must be communicated to the Buyer in writing at least 72 hours in advance.
- Confidentiality: The Translator Interpreter shall treat all documents, discussions, and information encountered during the engagement in Brasília as strictly confidential. A non-disclosure agreement (NDA) specific to this Purchase Order shall be executed prior to the commencement of services.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-2025-BR-04782) and shall be submitted in U.S. Dollars via wire transfer to the account designated by the Supplier.
- Substitution: The Buyer reserves the right to request the substitution of the assigned Translator Interpreter if performance does not meet the professional standards outlined in this Purchase Order. Any replacement Translator Interpreter must meet or exceed the qualifications specified herein.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Disputes arising from services rendered in Brazil, Brasília shall be subject to arbitration in Brasília, Federal District, Brazil, in accordance with the rules of the Brazilian Arbitration Association (CAM-CCBC).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest in Brazil, Brasília.
- Compliance: The Supplier and the Translator Interpreter shall comply with all applicable federal, state, and municipal laws of the Federal District of Brasília, Brazil, including labor regulations, tax obligations, and professional licensing requirements.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Translator Interpreter in Brazil, Brasília. This Purchase Order represents the complete and exclusive agreement between the parties with respect to the services described herein and supersedes all prior negotiations, representations, or agreements.
