This Purchase Order is issued by Meridian Global Communications Ltd. (hereinafter referred to as the "Buyer") to formally authorize and request the engagement of professional Translator Interpreter services to be rendered in Brazil Rio de Janeiro. The Buyer requires a certified Translator Interpreter to provide real-time consecutive and simultaneous interpretation, as well as document translation services, in support of the Buyer's international trade negotiations, legal proceedings, and corporate board meetings scheduled to take place in the city of Rio de Janeiro, State of Rio de Janeiro, Federative Republic of Brazil.
The Translator Interpreter engaged under this Purchase Order shall be a certified professional fluent in English (source language) and Portuguese (target language), with a minimum of ten (10) years of documented experience in legal, commercial, and diplomatic interpretation. The Translator Interpreter must hold a valid certification from the Brazilian Federal Council of Translators and Interpreters (CFT) and possess a current professional registration number. All interpretation and translation deliverables produced under this Purchase Order shall be executed exclusively in Brazil Rio de Janeiro, at the venue specified in Section 3 below, unless otherwise agreed in writing by both parties.

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All services described herein shall be performed by the designated Translator Interpreter or an equally qualified substitute approved in writing by the Buyer.
4.2 The Supplier guarantees that the Translator Interpreter assigned to this engagement in Brazil Rio de Janeiro shall maintain strict confidentiality of all proprietary, legal, and commercial information encountered during the performance of duties. A Non-Disclosure Agreement (NDA) is attached as Annex A to this Purchase Order.
4.3 Payment shall be made within thirty (30) calendar days of the Buyer's receipt of a valid tax invoice (Nota Fiscal) issued by the Supplier. Payment shall be processed via international wire transfer to the Supplier's designated bank account in Brazil Rio de Janeiro.
4.4 The Supplier shall bear full responsibility for the Translator Interpreter's compliance with all applicable Brazilian labor laws, immigration regulations, and professional licensing requirements in the State of Rio de Janeiro. Any penalties or fines arising from non-compliance shall be the sole responsibility of the Supplier.
4.5 In the event of cancellation by the Buyer, a cancellation fee of 25% of the total Purchase Order value shall apply if notice is given fewer than fourteen (14) days prior to the scheduled service commencement date in Brazil Rio de Janeiro.
4.6 All disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Brazilian Arbitration Association (CAB), with the seat of arbitration in Rio de Janeiro, Brazil. The governing law shall be the laws of the Federative Republic of Brazil.
4.7 The Translator Interpreter shall provide a written quality assurance report within five (5) business days following the completion of each service engagement, detailing hours worked, pages translated, and any anomalies encountered during the interpretation sessions in Brazil Rio de Janeiro.
