PURCHASE ORDER SUMMARY

This Purchase Order is issued by GlobalBridge Corporate Solutions Ltd. ITEMIZED SERVICES AND CHARGES

TERMS AND CONDITIONS

1. Scope of Translator Interpreter Services: The Supplier shall provide qualified, certified Translator Interpreter professionals with a minimum of five (5) years of professional experience in English-Portuguese interpretation. All Translator Interpreter personnel assigned to this Purchase Order must hold recognized certifications from the Brazilian Council of Translation and Interpretation (CFT) and demonstrate fluency in both Brazilian Portuguese and American English. The Translator Interpreter services shall be performed exclusively in Brazil São Paulo unless otherwise agreed in writing by the Purchaser.
2. Delivery and Performance Period: All Translator Interpreter services under this Purchase Order shall commence on July 1, 2025, and conclude on September 30, 2025. The Supplier guarantees that the Translator Interpreter will be present at the designated location in Brazil São Paulo no later than thirty (30) minutes prior to the scheduled start of each engagement.
3. Payment Terms: Payment for this Purchase Order shall be made in two (2) equal installments. The first installment of $15,257.00 is due within thirty (30) days of the date of this Purchase Order. The second installment of $15,257.00 is due within thirty (30) days of the completion of all Translator Interpreter services. Payment shall be made via international wire transfer to the Supplier's designated bank account in Brazil São Paulo.
4. Confidentiality and Non-Disclosure: The Supplier and all assigned Translator Interpreter personnel shall execute a mutual Non-Disclosure Agreement (NDA) prior to commencing any work under this Purchase Order. All documents, recordings, and information encountered during the Translator Interpreter engagement in Brazil São Paulo shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from the Purchaser.
5. Quality Assurance: The Purchaser reserves the right to request a replacement Translator Interpreter at no additional cost if the assigned professional fails to meet the quality standards specified in this Purchase Order. The Supplier shall provide a qualified replacement within twenty-four (24) hours of such a request.
6. Force Majeure: Neither party shall be held liable for delays or failures in performance under this Purchase Order resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Brazil São Paulo region.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, USA, and the applicable international trade regulations. Any disputes arising from this Purchase Order related to the Translator Interpreter services in Brazil São Paulo shall be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC).
8. Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) days. In the event of termination, the Purchaser shall pay for all Translator Interpreter services rendered up to the date of termination.
