1. SCOPE OF SERVICES – TRANSLATOR INTERPRETER ENGAGEMENTThis Purchase Order is issued by Andes Global Communications S.A. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Translator Interpreter services to be rendered in Chile Santiago and its surrounding metropolitan area. The engagement covers a comprehensive suite of linguistic support services, including but not limited to consecutive interpretation, simultaneous interpretation, document translation, real-time conference interpreting, and on-site bilingual facilitation for all corporate meetings, legal proceedings, medical consultations, and commercial negotiations scheduled to take place within the Chile Santiago region during the period specified herein.
The Translator Interpreter assigned to this Purchase Order must hold a minimum of five (5) years of documented professional experience in Spanish-English and Spanish-Mandarin language pairs, possess a certified degree in Translation and Interpreting from a recognized institution in Chile Santiago or an equivalent international credential, and demonstrate fluency in the specific technical terminology relevant to the Buyer's operations in mining, pharmaceuticals, and international trade.

- Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier must confirm availability of the designated Translator Interpreter within three (3) business days of receipt of this document.
- Service Delivery: All Translator Interpreter services shall be performed in Chile Santiago unless otherwise specified in the line items. The Supplier guarantees that the assigned professional will arrive at the designated location in Chile Santiago no later than thirty (30) minutes prior to the scheduled start time.
- Confidentiality: The Translator Interpreter engaged under this Purchase Order shall execute a Non-Disclosure Agreement (NDA) prior to the commencement of any service. All documents, recordings, and verbal communications handled in Chile Santiago are classified as strictly confidential and proprietary to the Buyer.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (PO-2025-CH-04872) and include the Supplier's RUT. Payment will be processed via bank transfer to the account specified by LinguaPro International Services SpA in Chile Santiago.
- Quality Assurance: The Buyer reserves the right to request a replacement Translator Interpreter if the assigned professional fails to meet the linguistic accuracy standards outlined in Annex A of this Purchase Order. Any replacement must be provided at no additional cost to the Buyer.
- Cancellation Policy: Cancellations of scheduled Translator Interpreter sessions in Chile Santiago must be communicated at least forty-eight (48) hours in advance. Cancellations within 48 hours will incur a 50% fee of the scheduled session amount.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from the interpretation or performance of this agreement shall be resolved in the competent courts of Chile Santiago.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Chile Santiago, or public health emergencies.
- Validity: This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted within this period, the Buyer reserves the right to issue a revised Purchase Order or seek alternative Translator Interpreter providers in Chile Santiago.
