This Purchase Order is issued by Global Commerce Solutions Ltd. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Translator Interpreter services to be rendered in China Beijing. The Buyer requires the engagement of a certified Translator Interpreter specializing in Mandarin Chinese to English (and English to Mandarin Chinese) simultaneous and consecutive interpretation for a series of high-level business negotiations, contractual reviews, and executive board meetings scheduled to take place in China Beijing between July 1, 2025, and July 15, 2025.

The Translator Interpreter engaged under this Purchase Order must hold a minimum of five (5) years of documented professional experience in business and legal interpretation within China Beijing. The Translator Interpreter must be a certified member of the China Translators Association (CTA) and possess a valid CATTI (China Accredited Test for Translators and Interpreters) Level 1 qualification. Additionally, the Translator Interpreter must demonstrate fluency in commercial terminology, international trade law, and cross-border investment regulations applicable to the China Beijing jurisdiction.

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
2. Translator Interpreter Qualifications: The Supplier warrants that the Translator Interpreter assigned to this engagement in China Beijing meets all qualifications specified in Section 2. The Buyer reserves the right to request a replacement Translator Interpreter if the assigned professional does not meet the stated requirements.
3. Confidentiality: The Translator Interpreter shall be bound by a strict non-disclosure agreement (NDA) covering all information encountered during the engagement in China Beijing. All documents, recordings, and notes related to this Purchase Order engagement must be returned or destroyed upon completion.
4. Payment Terms: Payment for this Purchase Order shall be made in two installments: fifty percent (50%) upon execution of the contract and confirmation of the Translator Interpreter's availability in China Beijing, and the remaining fifty percent (50%) within thirty (30) days following the completion of all services. Payment shall be made via international wire transfer to the account designated by the Supplier.
5. Performance Standards: The Translator Interpreter must arrive at all scheduled sessions in China Beijing no later than thirty (30) minutes prior to the commencement time. Any absence or tardiness exceeding fifteen (15) minutes without prior written notice to the Buyer shall result in a penalty of ten percent (10%) of the daily rate for that day.
6. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed travel restrictions in China Beijing, or public health emergencies.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to commercial and service contracts applicable in China Beijing. Any disputes arising from this Purchase Order shall be resolved through arbitration in China Beijing under the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
8. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties. Any change to the scope of Translator Interpreter services in China Beijing must be documented as a formal addendum to this Purchase Order.

The Translator Interpreter assigned to this Purchase Order is expected to conduct all interpretation sessions in the Chaoyang District business center of China Beijing, specifically at the buyer's designated venue: The China World Hotel, 1 Jianguomenwai Avenue. The Translator Interpreter must be prepared to interpret in both formal boardroom settings and informal networking receptions. All interpretation equipment, including headsets and microphones, shall be provided by the Buyer. The Translator Interpreter is responsible for bringing personal reference materials, glossaries, and any preparatory documents necessary for the engagement in China Beijing.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Translator Interpreter in China Beijing. This document constitutes the complete and final agreement between the parties with respect to the subject matter herein.
