1. Description of Services — Translator Interpreter Engagement in China Guangzhou

This Purchase Order is issued by Pacific Rim International Trade Co., Ltd. to formally request and authorize the procurement of professional Translator Interpreter services to be rendered in China Guangzhou. The Translator Interpreter engagement is required to support a series of high-level commercial negotiations, factory inspections, regulatory compliance meetings, and multilingual client presentations that will take place across multiple business districts within the city of Guangzhou, Guangdong Province, China. The Translator Interpreter must be fluent in Mandarin Chinese (Cantonese dialect preferred for local government interactions) and English, with demonstrated professional experience in international trade, manufacturing, and legal terminology.

2. Scope of Work — Translator Interpreter Duties

The Translator Interpreter engaged under this Purchase Order shall perform the following duties in China Guangzhou:

3. Qualification Requirements for the Translator Interpreter

The Translator Interpreter assigned to fulfill this Purchase Order must meet the following minimum qualifications:

• Hold a recognized certification in translation and interpretation (e.g., CATTI Level 1 or equivalent international credential).
• Demonstrate a minimum of five (5) years of professional experience as a Translator Interpreter in international trade and manufacturing sectors.
• Be physically present and available to work in China Guangzhou for the entire contract period specified in this Purchase Order.
• Provide a valid professional liability insurance certificate covering all Translator Interpreter activities conducted in China Guangzhou.
• Pass a background verification and confidentiality agreement review prior to commencing services.

4. Terms and Conditions

1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier shall confirm acceptance of this Purchase Order for Translator Interpreter services in China Guangzhou within five (5) business days of receipt.
2. Performance: The Translator Interpreter must arrive at each designated location in China Guangzhou no later than thirty (30) minutes prior to the scheduled start time of each engagement. Failure to do so shall constitute a breach of this Purchase Order.
3. Confidentiality: The Translator Interpreter shall maintain strict confidentiality regarding all commercial, legal, and technical information encountered during the course of services in China Guangzhou. A Non-Disclosure Agreement (NDA) must be executed prior to the first day of service.
4. Payment: Payment of 100% of the invoiced amount under this Purchase Order shall be made within thirty (30) calendar days of the Supplier's invoice submission. Late payments shall accrue interest at 1.5% per month.
5. Substitution: The Supplier shall not substitute the assigned Translator Interpreter without prior written approval from the Buyer. Any proposed replacement must meet or exceed the qualifications outlined in Section 3 of this Purchase Order.
6. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all Translator Interpreter services rendered up to the effective date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from the Translator Interpreter services in China Guangzhou shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in China Guangzhou.
