(hereinafter referred to as the "Seller") for the provision of certified Translator Interpreter services to be performed exclusively within the jurisdiction of China Shanghai. The Buyer requires the services of a qualified Translator Interpreter to facilitate all business communications, contractual negotiations, regulatory filings, and operational meetings between the Buyer's international delegation and local Chinese counterparts during a scheduled business visit to China Shanghai.

The Translator Interpreter engaged under this Purchase Order shall possess a minimum of eight (8) years of professional experience in simultaneous and consecutive interpretation between English (American) and Mandarin Chinese. The Translator Interpreter must hold a valid CATTI (China Accredited Test for Translators and Interpreters) Level 1 certification and demonstrate proven expertise in the fields of international trade, cross-border logistics, intellectual property law, and financial services. All interpretation services shall be delivered on-site in China Shanghai, with the primary work location being the Buyer's temporary office at the Shanghai International Convention Center, Pudong New Area, China Shanghai.

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Seller. The Seller must confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
2. Service Location: All Translator Interpreter services described herein shall be performed physically in China Shanghai. The Seller warrants that the assigned Translator Interpreter holds a valid work permit and residence registration in China Shanghai and is fully authorized to provide professional interpretation services within the People's Republic of China.
3. Confidentiality: The Translator Interpreter engaged under this Purchase Order shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work in China Shanghai. All documents, trade secrets, and proprietary information encountered during the engagement in China Shanghai shall remain strictly confidential for a period of five (5) years following the conclusion of services.
4. Payment Terms: Payment for this Purchase Order shall be made via international wire transfer to the Seller's designated bank account in China Shanghai. 5. Performance Standards: The Translator Interpreter shall maintain a minimum 98% accuracy rate in all interpretation and translation deliverables. The Buyer reserves the right to request a replacement Translator Interpreter if performance standards are not met, with no additional cost to the Buyer.
6. Applicable Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order related to Translator Interpreter services in China Shanghai shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or international travel restrictions affecting the Buyer's delegation.
8. Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the scope of Translator Interpreter services in China Shanghai shall not be binding.

By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Translator Interpreter in China Shanghai.
