1. Service Location: All Translator Interpreter services under this Purchase Order shall be performed exclusively in Colombia Bogotá, D.C., at the addresses specified in the line items above. The vendor is responsible for all travel, accommodation, and local transportation of the Translator Interpreter to and within Colombia Bogotá.
2. Qualifications: The Translator Interpreter assigned to this Purchase Order must hold a minimum of five (5) years of professional experience in simultaneous and consecutive interpretation, a certified degree in Translation and Interpreting, and demonstrated familiarity with Colombian commercial law and international trade terminology. The Translator Interpreter must be fluent in both English and Spanish (native or C2 proficiency).
3. Confidentiality: The Translator Interpreter shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work in Colombia Bogotá. All documents, recordings, and verbal communications encountered during the engagement are strictly confidential and subject to Colombian data protection law (Ley 1581 de 2012).
4. Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Invoices must reference this Purchase Order number (PO-2025-COL-BGA-00472). 5. Performance Schedule: The Translator Interpreter must be available on-site in Colombia Bogotá no later than 08:00 AM (COT) on July 15, 2025. Daily working hours are 08:00 AM to 06:00 PM, with a one-hour lunch break. Overtime beyond 10 hours per day will be billed at 1.5x the standard daily rate.
6. Substitution: The vendor may not substitute the assigned Translator Interpreter without prior written approval from the Purchasing Entity. Any proposed replacement must meet or exceed the qualifications outlined in Clause 2 and must be approved at least five (5) business days before the scheduled start date in Colombia Bogotá.
7. Termination: Either party may terminate this Purchase Order with seven (7) days' written notice. In the event of early termination, the vendor shall be compensated for all services rendered up to the termination date, plus a 10% administrative fee on the remaining contract value.
8. Governing Law: This Purchase Order and any disputes arising from the provision of Translator Interpreter services in Colombia Bogotá shall be governed by the commercial laws of the Republic of Colombia. Jurisdiction for any legal proceedings shall be the courts of Colombia Bogotá, D.C.
9. Insurance: The vendor shall maintain professional liability insurance and workers' compensation coverage for the Translator Interpreter throughout the duration of services in Colombia Bogotá, with a minimum coverage of USD 1,000,000 per occurrence.
10. Acceptance: Services shall be deemed accepted upon written confirmation by the Purchasing Entity's project manager within five (5) business days of completion. Failure to provide written objection within this period constitutes acceptance.
