The Buyer requires the engagement of a certified Translator Interpreter specializing in English-Spanish (Colombian dialect) and English-French language pairs to support a series of international business negotiations, technical presentations, and regulatory compliance meetings scheduled to take place in the city of Colombia Medellín between June 20 and July 4, 2025.

The Translator Interpreter engaged under this Purchase Order must hold a minimum of five (5) years of documented professional experience in simultaneous and consecutive interpretation within the corporate, legal, and pharmaceutical sectors. The Translator Interpreter must be fluent in the local Colombian Spanish dialect as spoken in Colombia Medellín, including familiarity with regional terminology, cultural nuances, and business etiquette specific to the Antioquia region. All interpretation services must be delivered in person at the Buyer's designated offices located in the El Poblado district of Colombia Medellín, unless otherwise agreed in writing.

The Translator Interpreter contracted under this Purchase Order shall provide the following deliverables while physically present in Colombia Medellín:

• Real-time simultaneous and consecutive interpretation for all scheduled business meetings, board presentations, and client negotiations held in Colombia Medellín.
• Accurate written translation of all technical documents, contracts, and regulatory filings as specified in Line Item 3, delivered in a format suitable for Colombian legal and business standards.
• Pre-event briefing sessions with the Buyer's project team in Colombia Medellín to review terminology, context, and sensitive topics prior to each interpretation engagement.
• Post-session written summaries of key discussion points, decisions, and action items in both English and Colombian Spanish.
• Availability for emergency or unscheduled interpretation requests in Colombia Medellín with a minimum of four (4) hours' prior notice, subject to the premium rate outlined in Line Item 6.

1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue.
2. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Supplier. A 50% advance payment is due upon confirmation of the Translator Interpreter's availability and travel booking to Colombia Medellín. The remaining 50% is due within 30 days of service completion.
3. Confidentiality: The Translator Interpreter shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work in Colombia Medellín. All documents, recordings, and verbal communications encountered during the engagement are strictly confidential and subject to Colombian data protection law (Ley 1581 de 2012).
4. Performance Standards: The Translator Interpreter must maintain a minimum 98% accuracy rate as verified by the Buyer's quality assurance team. Failure to meet this standard for two consecutive sessions in Colombia Medellín shall entitle the Buyer to terminate this Purchase Order without penalty.

6. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, political unrest in Colombia Medellín, government-mandated closures, or international travel restrictions.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Colombia Medellín in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín.
8. Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of USD $1,000,000 for the duration of the Translator Interpreter's engagement in Colombia Medellín.
