The scope of work under this Purchase Order encompasses the following specific deliverables related to the Translator Interpreter engagement in Ethiopia Addis Ababa:

• Simultaneous interpretation for all board meetings, stakeholder consultations, and international delegation briefings held in Ethiopia Addis Ababa (minimum 40 hours per month).
• Consecutive interpretation for bilateral negotiations, legal proceedings, and regulatory compliance meetings conducted in the Ethiopia Addis Ababa metropolitan area.
• Written translation of official documents, contracts, technical reports, and correspondence from English to Amharic and Oromiffa, and vice versa, as required by the Buyer's operations in Ethiopia Addis Ababa.
• On-site interpretation support for field visits, community engagement sessions, and project monitoring activities throughout the Ethiopia Addis Ababa region.
• Emergency Translator Interpreter availability within four (4) hours for unscheduled meetings or urgent diplomatic engagements in Ethiopia Addis Ababa.

This Purchase Order authorizes the engagement of the Translator Interpreter for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026. The Translator Interpreter shall be available on a full-time basis (Monday through Friday, 08:00 to 17:00 EAT) at the Buyer's premises in Ethiopia Addis Ababa, with additional availability for evening and weekend engagements as mutually agreed upon in writing. Any extension of this Purchase Order beyond the initial term shall require a formal amendment signed by both parties.

Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid invoice from the Supplier. All payments under this Purchase Order shall be processed in Ethiopian Birr (ETB) via bank transfer to the Supplier's designated account. The total value of this Purchase Order is subject to a 15% Value Added Tax (VAT) as applicable under the tax regulations of Ethiopia Addis Ababa and the Federal Democratic Republic of Ethiopia.

• The Translator Interpreter engaged under this Purchase Order must hold a minimum of five (5) years of professional experience in simultaneous and consecutive interpretation, with demonstrated proficiency in Amharic, Oromiffa, Tigrinya, and English.
• The Translator Interpreter shall maintain strict confidentiality regarding all documents, discussions, and proprietary information encountered during the course of services in Ethiopia Addis Ababa. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
• The Supplier guarantees that the Translator Interpreter assigned to this Purchase Order shall be a certified professional recognized by the Ethiopian Association of Professional Translators and Interpreters (EAPTI) or an equivalent international body.
• The Buyer reserves the right to request a replacement Translator Interpreter if performance does not meet the quality standards outlined in this Purchase Order, with a minimum of seven (7) days' written notice.
• All services rendered under this Purchase Order shall comply with the labor laws, professional standards, and regulatory requirements applicable in Ethiopia Addis Ababa and the broader Ethiopian jurisdiction.
• The Supplier shall provide the Buyer with a monthly performance report detailing the hours of Translator Interpreter services delivered, the number of documents translated, and any incidents or challenges encountered in Ethiopia Addis Ababa.
• This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ethiopia Addis Ababa in accordance with the Ethiopian Arbitration and Conciliation Proclamation.
• Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions in Ethiopia Addis Ababa.
