1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Supplier upon signature by both parties. All services described herein shall be performed exclusively in France Lyon unless otherwise agreed in writing.
2. The Translator Interpreter assigned to this engagement must maintain strict confidentiality regarding all proprietary information, trade secrets, and negotiation strategies disclosed during the interpretation sessions in France Lyon. A Non-Disclosure Agreement (NDA) must be executed prior to the first day of service.
3. The Supplier shall provide a qualified backup Translator Interpreter at no additional cost in the event of illness or unforeseen unavailability of the primary interpreter. The backup must meet the same certification and experience requirements specified in this Purchase Order.
4. Payment shall be processed via bank transfer to the account designated by the Supplier within thirty (30) calendar days of receipt of a valid invoice. Late payments shall incur interest at a rate of 1.5% per month as stipulated under French commercial law.
5. The Purchasing Entity reserves the right to modify the schedule, venue, or scope of Translator Interpreter services with a minimum of five (5) business days' written notice. Cancellations made with less than 48 hours' notice shall be subject to a 50% fee of the scheduled session value.
6. All services shall comply with applicable French labor regulations, data protection laws (GDPR), and professional standards governing the interpretation industry in France Lyon and the European Union.
7. Disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Lyon, France, in accordance with French civil and commercial law.
