Ltd. to LinguaBridge Professional Services LLP for the engagement of a certified Translator Interpreter to provide on-site and remote language services at the company's operational headquarters located in India Bangalore. The Translator Interpreter shall be responsible for facilitating real-time verbal and written communication between English-speaking executives and stakeholders speaking Kannada, Hindi, Tamil, Telugu, and Mandarin Chinese during scheduled business meetings, client presentations, regulatory filings, and cross-border negotiations.

The Translator Interpreter must hold a minimum of five (5) years of professional experience in simultaneous and consecutive interpretation, possess a recognized certification from the Indian Institute of Translators and Interpreters (IITI), and demonstrate fluency in all five languages listed above. All services shall be rendered primarily at the buyer's premises in India Bangalore, with the option of remote participation via secure video conferencing for up to twenty (20) hours per month.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon written acceptance by both parties. All terms herein govern the provision of Translator Interpreter services in India Bangalore.
2. The Translator Interpreter shall maintain strict confidentiality of all proprietary, financial, and legal information encountered during the engagement. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement of services.
3. Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via NEFT/RTGS to the bank account specified in the invoice. The Purchase Order number must be referenced on all invoices.
4. The Supplier guarantees that the assigned Translator Interpreter shall be available at the India Bangalore premises no later than thirty (30) minutes prior to the scheduled start time of any on-site engagement. Failure to do so shall entitle the Buyer to a 10% reduction in the applicable hourly rate for that session.
5. Any changes to the scope, duration, or location of the Translator Interpreter engagement must be communicated in writing at least forty-eight (48) hours in advance. Material changes exceeding 15% of the original scope require a formal amendment to this Purchase Order.
6. The Supplier shall bear all costs associated with the Translator Interpreter's professional insurance, equipment (headsets, recording devices), and software licenses required to deliver services in India Bangalore.
7. This Purchase Order is governed by the laws of India. Any disputes arising from the interpretation or performance of this order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
8. The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice in the event of sustained underperformance by the Translator Interpreter, as measured against the service-level parameters defined in the attached Statement of Work.
9. All deliverables, including translated documents and interpretation recordings, shall remain the exclusive intellectual property of the Buyer upon full payment.

The Translator Interpreter services shall commence on 01 August 2025 and continue on a rolling monthly basis for an initial period of three (3) months, subject to renewal by mutual written consent. All on-site services shall be conducted at the Buyer's office in India Bangalore (Outer Ring Road, HSR Layout) unless otherwise specified in a written addendum to this Purchase Order.
