This Purchase Order is issued by Meridian Global Technologies Pvt. - This Purchase Order constitutes a binding agreement between the Purchasing Party and the Supplying Party upon countersignature. All services described herein shall be rendered exclusively for operations based in India Mumbai unless otherwise specified in a written amendment.
- The Translator Interpreter assigned under this Purchase Order must hold a minimum of five (5) years of professional experience in simultaneous and consecutive interpretation, with demonstrated fluency in English, Hindi, Marathi, and Gujarati. A valid certification from the Indian Institute of Translators or an equivalent recognized body in India Mumbai shall be submitted prior to commencement of services.
- All interpretation and translation services shall be performed in strict compliance with the confidentiality obligations outlined in the Non-Disclosure Agreement (NDA) executed on 01 June 2025. The Translator Interpreter shall not disclose, reproduce, or distribute any proprietary information encountered during assignments in India Mumbai or any other location.
- Payment shall be processed within thirty (30) calendar days from the date of invoice submission. Invoices must reference this Purchase Order number (PO/2025/MUM/04872) and include a detailed timesheet or word-count report. Late payments shall attract interest at 1.5% per month as per the applicable provisions of the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if the vendor qualifies as an MSME registered in India Mumbai.
- The Supplying Party guarantees that the Translator Interpreter shall be available with a minimum of forty-eight (48) hours' prior notice for scheduled assignments and within four (4) hours for emergency engagements in India Mumbai. Failure to meet availability commitments shall result in a service credit of 10% of the affected session fee.
- Any modification, extension, or cancellation of this Purchase Order must be executed in writing by both parties. The Purchasing Party reserves the right to terminate this engagement with thirty (30) days' written notice if the Translator Interpreter consistently fails to meet the quality benchmarks defined in Annexure A of this document.
- All disputes arising from this Purchase Order shall be resolved through arbitration in India Mumbai in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, India.
- The Translator Interpreter shall comply with all applicable data protection regulations, including the Digital Personal Data Protection Act, 2023, when handling any personal or sensitive information during assignments conducted in India Mumbai.
- This Purchase Order is governed by the laws of India. The venue for any legal proceedings shall be the courts of competent jurisdiction in India Mumbai.
