1. SCOPE OF SERVICES – TRANSLATOR INTERPRETER ENGAGEMENTThis Purchase Order is issued by EuroBridge International Consulting S.r.l. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional Translator Interpreter services to be rendered on-site in Italy Milan. The Buyer requires the engagement of a certified Translator Interpreter to facilitate multilingual communication during a series of high-level business negotiations, regulatory compliance meetings, and cross-border partnership discussions scheduled to take place at the Buyer's headquarters and at the Palazzo Mezzanotte conference facilities in Italy Milan between June 20, 2025, and July 4, 2025.
The Translator Interpreter engaged under this Purchase Order shall be fluent in Italian, English, and at least one additional language (German or French) and must hold a recognized certification from the Italian Chamber of Commerce or an equivalent international accreditation body. The Translator Interpreter must have a minimum of five (5) years of professional experience in legal, financial, and corporate interpretation, with demonstrated prior experience operating in the Italy Milan business district.

- Acceptance: This Purchase Order constitutes a binding offer. The Supplier, LinguaPro Translation & Interpretation Services, shall confirm acceptance of this Purchase Order in writing within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
- Service Delivery Location: All Translator Interpreter services shall be performed exclusively within the city of Italy Milan and its immediate metropolitan area. The primary work location shall be the Buyer's offices at Via Montenapoleone 42, with secondary locations as specified in the line items above.
- Qualification Requirements: The Translator Interpreter assigned to this engagement must present valid professional certification, proof of liability insurance (minimum coverage of €1,000,000), and a signed non-disclosure agreement (NDA) prior to commencing any work in Italy Milan.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-2025-ITM-04872) and include the Supplier's VAT registration number. Payment shall be made via bank transfer to the account designated by the Supplier.
- Confidentiality: The Translator Interpreter shall treat all documents, discussions, and business information encountered during the engagement in Italy Milan as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Performance Standards: The Translator Interpreter shall maintain a minimum 98% accuracy rate in both oral interpretation and written translation. Any errors exceeding this threshold shall be subject to a 10% reduction in the corresponding line item fee.
- Cancellation and Modification: The Buyer reserves the right to modify or cancel any line item of this Purchase Order with a minimum of seventy-two (72) hours' written notice. Cancellations made within 72 hours of the scheduled service date in Italy Milan shall incur a 50% fee on the affected line item.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Italy Milan.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Italy Milan region.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Supplier's standard terms of service, constitutes the entire agreement between the parties regarding the Translator Interpreter engagement in Italy Milan and supersedes all prior negotiations, representations, or agreements.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Translator Interpreter services to be delivered in Italy Milan.
