3. Scope of Services – Translator Interpreter Engagement

This Purchase Order authorizes the procurement of professional Translator Interpreter services to be delivered on-site in Ivory Coast Abidjan. The engaged Translator Interpreter shall be fluent in French (primary working language of Ivory Coast), English, and at minimum one additional language relevant to the project (Arabic or Portuguese). The Translator Interpreter will support all verbal and written communication needs of the Buyer during the project period, including but not limited to:

Consecutive and simultaneous interpretation during board meetings, stakeholder negotiations, and regulatory hearings held in Abidjan, Ivory Coast.
Real-time Translator Interpreter support for site inspections, factory audits, and infrastructure walkthroughs across the Abidjan metropolitan area and surrounding districts.
Written translation of legal contracts, technical specifications, commercial correspondence, and government filings between French and English.
Cultural mediation and protocol guidance to ensure all interactions with local authorities, community leaders, and business partners in Ivory Coast Abidjan are conducted with appropriate cultural sensitivity.
Preparation of bilingual briefing documents and post-session summaries for the Buyer's executive team.

5. Terms and Conditions

Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier must confirm acceptance within five (5) business days of receipt. Failure to confirm within this period shall render this Purchase Order null and void.
Service Delivery: All Translator Interpreter services shall be performed in Ivory Coast Abidjan unless otherwise agreed in writing. The Translator Interpreter must be available on-site at the Buyer's designated location no later than thirty (30) minutes prior to the scheduled start of any engagement.
Qualifications: The Translator Interpreter assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Translation, Linguistics, or a related field, possess at least five (5) years of professional experience in the Abidjan, Ivory Coast market, and demonstrate certified proficiency in French and English (CEFR C1 or equivalent). The Supplier shall provide proof of qualifications prior to the commencement of services.
Confidentiality: The Translator Interpreter shall sign a Non-Disclosure Agreement (NDA) prior to accessing any Buyer documents. All materials, recordings, and notes related to this Purchase Order engagement in Ivory Coast Abidjan shall be treated as strictly confidential and returned or destroyed upon project completion.
Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-IVC-0472). Payment shall be made via bank transfer to the Supplier's designated account in Ivory Coast. Late payments shall incur a penalty of 1.5% per month.
Performance Standards: The Translator Interpreter is expected to maintain a minimum accuracy rate of 95% for all interpreted and translated content. The Buyer reserves the right to request a replacement Translator Interpreter if performance falls below the agreed standard, with no additional cost to the Buyer.
Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all Translator Interpreter services rendered up to the effective date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ivory Coast. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abidjan, Ivory Coast, in accordance with the rules of the Ivorian Chamber of Commerce.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, civil unrest in Ivory Coast Abidjan, government-imposed travel restrictions, or pandemics.
