The Translator Interpreter engaged under this Purchase Order must hold a minimum of five (5) years of professional experience in the Japan Kyoto business and cultural environment, possess a valid national interpreter certification, and demonstrate fluency in both written and spoken Japanese and English. The Translator Interpreter shall be available for on-site engagement at the buyer's offices located in Japan Kyoto as well as for virtual remote sessions as required by the project timeline.

• Scope of Engagement: The Translator Interpreter shall perform all duties strictly within the scope defined in this Purchase Order. Any additional services beyond the listed line items in Japan Kyoto or elsewhere shall require a written amendment to this Purchase Order signed by both parties.
• Confidentiality: The Translator Interpreter agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and sensitive business data encountered during the performance of services in Japan Kyoto. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A to this Purchase Order.
• Quality Assurance: All translated documents and interpreted sessions under this Purchase Order shall meet the ISO 17100 (Translation Services) and ISO 27001 (Information Security) standards. The buyer reserves the right to request revisions at no additional cost if the Translator Interpreter's output does not meet the agreed quality benchmarks.
• Payment Schedule: Payment for this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the seller. Invoices shall be submitted in Japanese Yen (JPY) and remitted via bank transfer to the account designated by Kyoto Linguistic Excellence Agency K.K. in Japan Kyoto.
• Cancellation and Termination: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice. In the event of cancellation, the Translator Interpreter shall be compensated for all services rendered up to the cancellation date, plus a 10% administrative fee on the remaining contracted value.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association (JCAA).
• Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government mandates, or other events beyond reasonable control, particularly those affecting the Japan Kyoto region such as earthquakes, typhoons, or public health emergencies.
• Insurance and Liability: The seller shall maintain professional liability insurance with a minimum coverage of JPY 50,000,000 for the duration of this Purchase Order. The Translator Interpreter shall be fully insured for all on-site engagements conducted in Japan Kyoto.
