This Purchase Order is issued by East African Development Corporation Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of a qualified Translator Interpreter for the duration of a multi-stakeholder infrastructure review conference to be held in Kenya Nairobi, specifically at the KICC Conference Centre, Nairobi, Kenya. The Translator Interpreter shall provide simultaneous and consecutive interpretation services between English and Swahili, as well as written translation of all official proceedings, minutes, and technical documentation associated with the event.

The Translator Interpreter engaged under this Purchase Order must hold a minimum of five (5) years of professional experience in conference interpretation within the East African region, with demonstrated fluency in both English and Swahili. The Translator Interpreter shall be physically present in Kenya Nairobi no later than 48 hours prior to the commencement of the conference to conduct equipment familiarization and preliminary document review.

4. TERMS AND CONDITIONS

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be rendered exclusively in Kenya Nairobi unless otherwise agreed in writing.
2. The Translator Interpreter shall maintain strict confidentiality regarding all documents, discussions, and proceedings encountered during the engagement in Kenya Nairobi. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement of services.
3. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via bank transfer to the account designated by LinguaBridge Professional Services Ltd. in Nairobi, Kenya.
4. The Translator Interpreter shall provide a minimum of two (2) hours of daily preparation time, which shall be compensated at the hourly rate specified in this Purchase Order.
5. Any cancellation of this Purchase Order by the Buyer more than fourteen (14) days prior to the event date shall incur no penalty. Cancellations within fourteen (14) days shall be subject to a 50% penalty fee on the total contract value.
6. The Supplier warrants that the Translator Interpreter assigned to this engagement is fully qualified, insured, and in compliance with all applicable Kenyan labour and professional regulations governing interpretation services in Kenya Nairobi.
7. Disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act of Kenya.
8. All deliverables, including translated documents and recorded interpretation sessions, shall be the exclusive property of the Buyer upon full payment.
