This Purchase Order is issued by Meridian Global Communications Sdn. Bhd. to formally engage the services of LinguaBridge Professional Services (M) Sdn. Bhd. for the provision of a certified Translator Interpreter to support the Buyer's international trade delegation meeting scheduled to take place in Malaysia Kuala Lumpur. The Translator Interpreter shall be responsible for providing real-time consecutive and simultaneous interpretation between English, Mandarin Chinese, and Bahasa Malaysia throughout the duration of the event. The Translator Interpreter must hold a minimum of five (5) years of professional experience in multilingual corporate interpretation and must be registered with the Malaysian Association of Translators and Interpreters (MATI).

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature. All services described herein shall be rendered exclusively in Malaysia Kuala Lumpur at the venue specified in Annexure A of this Purchase Order.
2. The Translator Interpreter engaged under this Purchase Order must arrive at the Malaysia Kuala Lumpur venue no later than one (1) hour prior to the commencement of each scheduled session. Failure to do so shall entitle the Buyer to a 10% deduction per occurrence.
3. Payment terms: Net 30 days from the date of invoice submission. The Supplier shall submit a tax invoice referencing this Purchase Order number (PO-ML-2025-04782) to the Buyer's accounts payable department.
4. The Supplier warrants that the Translator Interpreter assigned to this engagement shall maintain strict confidentiality of all proprietary information, trade secrets, and negotiation strategies disclosed during the Malaysia Kuala Lumpur event. A Non-Disclosure Agreement (NDA) is attached as Annexure B.
5. Any changes to the scope, duration, or location of the Translator Interpreter services must be approved in writing by the Buyer's Procurement Manager prior to execution. Verbal modifications shall not be valid under this Purchase Order.
6. The Supplier shall provide a qualified substitute Translator Interpreter of equivalent or higher qualification should the originally assigned professional be unavailable due to illness or force majeure, with no additional charge to the Buyer.
7. All services shall comply with the standards set forth by the Malaysian Standard MS 1710:2020 for language services and the regulatory requirements of the Malaysian Communications and Multimedia Commission where applicable.
8. This Purchase Order is governed by the laws of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Malaysia Kuala Lumpur in accordance with the Arbitration Act 2005.
9. The Buyer reserves the right to terminate this Purchase Order with fourteen (14) days' written notice in the event of material breach by the Supplier, including but not limited to the failure to provide a qualified Translator Interpreter as specified herein.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Translator Interpreter in Malaysia Kuala Lumpur. This Purchase Order shall remain in full force and effect until all obligations have been satisfactorily discharged by both parties.
