This Purchase Order is issued by GlobalBridge Corporate Solutions, S.A. de C.V. to formally request and authorize the procurement of professional Translator Interpreter services to be rendered on-site in Mexico Mexico City. The Translator Interpreter engagement is required to support a series of multilingual business negotiations, regulatory compliance meetings, and client presentations scheduled to take place at the buyer's headquarters and at the World Trade Center Mexico City venue between July 1, 2025, and July 18, 2025.

The Translator Interpreter services covered under this Purchase Order shall include, but are not limited to, simultaneous interpretation, consecutive interpretation, real-time document translation, and on-demand linguistic support for all proceedings conducted in the Mexico Mexico City metropolitan area. The supplier is expected to deploy certified Translator Interpreter professionals who hold recognized credentials from the Mexican Chamber of Commerce and who possess a minimum of eight (8) years of professional experience in the Mexico Mexico City business and legal environments.

All Translator Interpreter services authorized under this Purchase Order shall be performed exclusively within the geographic boundaries of Mexico Mexico City, including the boroughs of Cuauhtémoc, Benito Juárez, Miguel Hidalgo, and Coyoacán. The supplier shall ensure that the assigned Translator Interpreter personnel arrive at the designated venue no later than thirty (30) minutes prior to the scheduled start of each session. Travel time within the Mexico Mexico City metropolitan area is included in the rates specified above and shall not be billed separately.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 40% advance payment (MXN $157,180.00) due within ten (10) business days of the supplier's written acceptance of this Purchase Order.
• 40% interim payment (MXN $157,180.00) due upon completion of the services rendered during the first ten (10) business days of the engagement period in Mexico Mexico City.
• 20% final payment (MXN $78,590.00) due within fifteen (15) business days following the supplier's submission of a final invoice and a certificate of satisfactory completion of all Translator Interpreter obligations.

All payments shall be made via wire transfer to the supplier's designated bank account in Mexico. The supplier is required to issue a valid CFDI (Comprobante Fiscal Digital por Internet) invoice for each payment tranche in compliance with the Mexican tax authority (SAT) regulations applicable in Mexico Mexico City.

1. Confidentiality: The Translator Interpreter personnel assigned to this Purchase Order shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work in Mexico Mexico City. All documents, recordings, and verbal communications encountered during the engagement are classified as strictly confidential and proprietary to the buyer.
2. Quality Assurance: The supplier guarantees that all Translator Interpreter professionals deployed under this Purchase Order hold valid certifications from the Mexican Institute of Translators (IMT) and possess a minimum of eight (8) years of documented professional experience in the Mexico Mexico City market.
3. Substitution: The supplier shall not substitute the assigned Translator Interpreter without the prior written consent of the buyer. Any proposed replacement must meet or exceed the qualifications specified in this Purchase Order.
4. Liability and Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of MXN $5,000,000.00 for all Translator Interpreter services performed in Mexico Mexico City. A certificate of insurance shall be provided to the buyer before the start date of the engagement.
5. Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) business days. In the event of early termination, the buyer shall pay for all Translator Interpreter services actually rendered up to the date of termination, plus any non-recoverable expenses incurred by the supplier in Mexico Mexico City.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States, with jurisdiction vested in the commercial courts of Mexico Mexico City.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Mexico Mexico City region.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Translator Interpreter services in Mexico Mexico City. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
