The primary purpose of this engagement is to provide comprehensive linguistic support for all business operations, legal proceedings, trade negotiations, and official correspondence conducted within the metropolitan area of Pakistan Karachi. The Translator Interpreter shall be responsible for facilitating seamless communication between English, Urdu, Sindhi, and Arabic-speaking parties involved in the Buyer's commercial activities in Pakistan Karachi.

The scope of work under this Purchase Order includes, but is not limited to, the following services to be rendered by the designated Translator Interpreter:

• Consecutive and simultaneous interpretation for all board meetings, shareholder assemblies, and executive briefings held at the Buyer's headquarters in Pakistan Karachi.
• Documentary translation of legal contracts, trade agreements, customs declarations, and regulatory filings between English and Urdu for submission to the Pakistan Karachi Customs Authority and the Sindh High Court.
• On-site interpretation support during factory inspections, warehouse audits, and supply chain verification visits conducted across the industrial zones of Pakistan Karachi, including Korangi, SITE, and Landhi.
• Telephone and video-conference interpretation for international clients and partners engaging with the Buyer's Pakistan Karachi operations center.
• Preparation and certification of translated documents bearing the official stamp and signature of the Translator Interpreter, as required by Pakistani law and international trade regulations applicable in Pakistan Karachi.
• Ad-hoc interpretation support for government liaison meetings with the Sindh Provincial Government, the Karachi Metropolitan Corporation, and the Pakistan Karachi Chamber of Commerce and Industry.

The total value of this Purchase Order amounts to PKR 2,720,000 (Two Million Seven Hundred Twenty Thousand Pakistani Rupees), exclusive of applicable Sales Tax and any additional charges for expedited delivery or after-hours engagement of the Translator Interpreter in Pakistan Karachi.

1. Engagement Period: The Translator Interpreter shall be engaged for a period of six (6) months commencing from 1 July 2025 through 31 December 2025, unless this Purchase Order is terminated earlier in accordance with Clause 9.
2. Qualifications: The Translator Interpreter assigned under this Purchase Order must hold a minimum of a Master's degree in Translation Studies or Linguistics, possess at least five (5) years of professional experience in Pakistan Karachi, and be registered with the Pakistan Institute of Translators and Interpreters (PITI).
3. Confidentiality: The Translator Interpreter shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work. All documents, trade secrets, and proprietary information encountered during the engagement in Pakistan Karachi shall be treated as strictly confidential and shall not be disclosed to any third party.
4. Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Seller. Invoices must reference this Purchase Order number (PO-KHI-2025-04782) and itemize all services rendered by the Translator Interpreter during the billing period.
5. Performance Standards: The Translator Interpreter shall maintain a minimum accuracy rate of 98% for all translated and interpreted materials. Any errors identified by the Buyer shall be corrected at no additional cost within forty-eight (48) hours.
6. Availability: The Translator Interpreter shall be available for on-site engagement in Pakistan Karachi on a minimum of five (5) days per week, with a 24-hour advance notice requirement for scheduled assignments and a 4-hour notice for urgent or emergency interpretation needs.
7. Substitution: The Seller shall not substitute the designated Translator Interpreter without prior written consent from the Buyer. Any proposed replacement must meet or exceed the qualifications specified in Clause 2.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the courts in Pakistan Karachi.
9. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Translator Interpreter, the Buyer reserves the right to terminate immediately upon written notice.

The Seller shall submit a monthly activity report to the Buyer's Procurement Division, detailing all hours logged by the Translator Interpreter, documents translated, meetings attended, and any issues encountered during the engagement period in Pakistan Karachi. All translated documents shall be delivered in both hard copy and digital (PDF) format to the Buyer's office at Clifton Block 5, Pakistan Karachi, within the timelines specified in each individual task assignment.
