This Purchase Order is issued by Meridian Corporate Services Pte. Ltd. (hereinafter referred to as the "Buyer") to formally engage LinguaBridge Professional Services Pte. Ltd. (hereinafter referred to as the "Seller") to provide professional Translator Interpreter services for all corporate, legal, and commercial proceedings conducted within the jurisdiction of Singapore Singapore. The Translator Interpreter services shall encompass simultaneous interpretation, consecutive interpretation, written translation of legal documents, contract review, and real-time multilingual support for board meetings, shareholder assemblies, regulatory filings, and client negotiations.

The Translator Interpreter engaged under this Purchase Order must hold a minimum of five (5) years of documented professional experience in multilingual interpretation and translation. The Translator Interpreter shall be fluent in English, Mandarin Chinese, Malay, Tamil, and at least one additional language as specified by the Buyer on a per-engagement basis. All Translator Interpreter personnel assigned to this Purchase Order must be certified by the Singapore Association of Translators and Interpreters (SATI) and must comply with all professional conduct standards applicable within Singapore Singapore.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration in Singapore Singapore under the rules of the Singapore International Arbitration Centre (SIAC).

5. Substitution and Replacement: The Seller shall not substitute the assigned Translator Interpreter without the prior written approval of the Buyer. 6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall be liable for all services rendered up to the effective date of termination. 7. Insurance and Liability: The Seller shall maintain professional indemnity insurance with a minimum coverage of SGD 1,000,000 per occurrence, valid throughout the duration of this Purchase Order in Singapore Singapore. The Seller shall be liable for any losses arising from errors, omissions, or unprofessional conduct by the Translator Interpreter.
8. Compliance: The Seller and the Translator Interpreter shall comply with all applicable laws, regulations, and professional standards in Singapore Singapore, including but not limited to the Personal Data Protection Act (PDPA) and the Companies Act of Singapore Singapore.
