This Purchase Order is issued by Sasol Corporate Services (Pty) Ltd (hereinafter referred to as the "Purchaser") to TransLingua Professional Services (Pty) Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Translator Interpreter to provide professional language services in the South Africa Johannesburg metropolitan area. This document constitutes a binding agreement upon acceptance by both parties.
The Purchaser hereby requests the Supplier to deploy a certified Translator Interpreter to support the Purchaser's annual board of directors meeting, investor relations presentations, and cross-border regulatory compliance hearings. The Translator Interpreter shall be fluent in English, Afrikaans, and isiZulu, with demonstrated proficiency in legal, financial, and corporate terminology. All services shall be rendered on-site at the Purchaser's headquarters located in the South Africa Johannesburg central business district, specifically at 1 Sasol Drive, Sandton, Johannesburg, 2196.
The Translator Interpreter is expected to provide simultaneous and consecutive interpretation during all scheduled proceedings, prepare written translations of pre-circulated board documents, and assist with real-time translation of verbal exchanges between English-speaking and isiZulu-speaking stakeholders. The Supplier guarantees that the Translator Interpreter assigned to this Purchase Order holds a minimum of five (5) years of professional experience in corporate and legal interpretation within the South Africa Johannesburg business environment.

All services under this Purchase Order shall be performed between 20 July 2025 and 28 July 2025. The Translator Interpreter must confirm availability in writing no later than 10 July 2025. The Supplier shall ensure that the Translator Interpreter arrives at the designated venue in South Africa Johannesburg no later than one (1) hour prior to the commencement of each scheduled session. Any failure to meet these timelines shall be subject to the penalty clauses outlined in Section 7 of this document.
Payment for this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. Payment shall be processed via electronic funds transfer (EFT) to the Supplier's designated bank account. The Purchaser reserves the right to withhold payment in the event of non-performance or substandard delivery of the Translator Interpreter services. All amounts are quoted in South African Rand (ZAR) and are inclusive of all applicable levies unless otherwise stated.
The Supplier warrants that the Translator Interpreter engaged under this Purchase Order is registered with the South African Institute of Professional Translators and Interpreters (SAIPTI) and holds a valid professional indemnity insurance policy with a minimum cover of R5,000,000. The Translator Interpreter shall comply with all data protection requirements under the Protection of Personal Information Act (POPIA), 2013, and shall sign a non-disclosure agreement (NDA) prior to commencing any work in the South Africa Johannesburg office premises. All translated materials and interpretation recordings shall remain the exclusive intellectual property of the Purchaser.
- The Purchaser may cancel this Purchase Order in whole or in part by providing fourteen (14) days' written notice to the Supplier. In such an event, the Supplier shall be compensated for confirmed, non-recoverable expenses only.
- Should the Translator Interpreter fail to attend any scheduled session without prior written notice, the Supplier shall refund 100% of the fees attributable to that session within five (5) business days.
- Repeated failure (two or more instances) to provide a qualified Translator Interpreter as specified in this Purchase Order shall entitle the Purchaser to terminate the agreement immediately and seek alternative services in the South Africa Johannesburg market without further liability.
- A late delivery penalty of 2% per calendar day shall apply to any written translation deliverables not submitted by the agreed deadline.
This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with this Purchase Order, including the performance of the Translator Interpreter services in South Africa Johannesburg, shall first be subject to good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration in Johannesburg, South Africa, in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). The arbitral award shall be final and binding on both parties.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of a Translator Interpreter in South Africa Johannesburg. This document, together with any attached schedules, forms the complete agreement between the parties with respect to the subject matter herein.
