- Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Supplier. The Supplier must confirm acceptance of this Purchase Order within five (5) business days of the date of issue. Failure to confirm within this period shall be construed as a rejection of this Purchase Order.
- Service Delivery: All Translator Interpreter services must be performed in Thailand Bangkok at the locations specified by the Purchasing Entity. The Translator Interpreter must arrive no later than thirty (30) minutes prior to the scheduled start of each engagement. The Supplier guarantees that the Translator Interpreter assigned shall hold a minimum of five (5) years of professional experience in legal, financial, and corporate interpretation between English and Thai.
- Quality Assurance: The Supplier warrants that all written translations and all oral interpretation delivered by the Translator Interpreter in Thailand Bangkok shall be accurate, professional, and free from errors that could materially affect the meaning of the source material. A quality review process shall be conducted for all written deliverables prior to final submission.
- Confidentiality: The Translator Interpreter and all personnel of the Supplier engaged under this Purchase Order shall be bound by strict confidentiality obligations. No information, documents, or communications encountered during the provision of services in Thailand Bangkok shall be disclosed to any third party without prior written consent from the Purchasing Entity. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Supplier. Payment shall be made via bank transfer to the account designated by the Supplier. All amounts are stated in Thai Baht (THB) and are inclusive of all applicable local taxes unless otherwise specified.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of termination, the Purchasing Entity shall be liable only for services already rendered by the Translator Interpreter up to the effective date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangkok, Thailand, in accordance with the rules of the Thai Arbitration Institute.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Thailand Bangkok.
- Subcontracting: The Supplier shall not subcontract any portion of the Translator Interpreter services without prior written approval from the Purchasing Entity. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
