1. This Purchase Order constitutes a binding agreement upon acceptance by the Supplier and governs all terms, conditions, deliverables, and payment obligations associated with the engagement of Translator Interpreter personnel in Turkey Ankara.

- Acceptance: This Purchase Order shall become effective upon written or electronic acceptance by the Supplier within five (5) business days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Service Delivery: All Translator Interpreter services must be performed at the specified locations within Turkey Ankara as communicated by the Buyer no fewer than forty-eight (48) hours prior to each engagement. The Supplier shall ensure punctuality and professional conduct of all Translator Interpreter personnel at all times.
- Confidentiality: The Supplier and all assigned Translator Interpreter professionals shall execute a Non-Disclosure Agreement (NDA) prior to commencing any work in Turkey Ankara. All documents, recordings, and verbal communications handled under this Purchase Order are strictly confidential and subject to Turkish data protection regulations (KVKK).
- Quality Assurance: The Buyer reserves the right to evaluate the performance of each Translator Interpreter after every session. In the event of unsatisfactory performance, the Supplier shall replace the Translator Interpreter within twenty-four (24) hours at no additional cost to the Buyer.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the Supplier. Payment shall be made via wire transfer to the Supplier's designated bank account in Turkey.
- Cancellation and Modification: The Buyer may cancel or modify any individual Translator Interpreter engagement under this Purchase Order with a minimum of seventy-two (72) hours' written notice. Cancellations made within seventy-two hours of the scheduled service in Turkey Ankara shall incur a 50% fee of the scheduled session rate.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Turkey Ankara, pandemics, or political instability.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from the provision of Translator Interpreter services in Turkey Ankara shall be resolved through arbitration in Ankara under the rules of the Istanbul Arbitration Institute (ISTAC).
- Insurance: The Supplier shall maintain professional liability insurance and workers' compensation coverage for all Translator Interpreter personnel operating in Turkey Ankara for the duration of this Purchase Order.
- Compliance: The Supplier warrants that all Translator Interpreter professionals engaged under this Purchase Order are legally authorized to work in Turkey and hold valid professional permits for interpretation and translation services in Turkey Ankara.
All Translator Interpreter personnel shall report to the designated meeting location within Turkey Ankara no later than thirty (30) minutes prior to the scheduled start time. The Supplier is responsible for arranging local transportation for all Translator Interpreter staff within the Turkey Ankara metropolitan area. For multi-day engagements, the Supplier shall coordinate accommodation and per diem arrangements in Turkey Ankara as outlined in the attached Schedule B (not included in this Purchase Order summary).
