• Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice from the service provider. All payments related to this Purchase Order shall be processed in UAE Dirhams (AED) via bank transfer to the account designated by Emirates Linguistic Solutions FZ-LLC.
• Service Location: All on-site Translator Interpreter services shall be performed at the buyer's premises located in United Arab Emirates Abu Dhabi, or at such other location within the United Arab Emirates Abu Dhabi metropolitan area as mutually agreed upon in writing.
• Confidentiality: The Translator Interpreter shall be bound by a strict Non-Disclosure Agreement (NDA) covering all proprietary, legal, and financial information encountered during the course of services rendered in the United Arab Emirates Abu Dhabi. Breach of confidentiality shall result in immediate termination of this Purchase Order and potential legal action under UAE Federal Law.
• Quality Assurance: The Translator Interpreter must maintain a minimum accuracy rate of 98% for all written translations and demonstrate professional fluency for all oral interpretation tasks. The buyer reserves the right to request a replacement Translator Interpreter if performance standards are not met within two (2) written notices.
• Compliance: The service provider and the assigned Translator Interpreter must comply with all applicable laws and regulations of the United Arab Emirates Abu Dhabi, including but not limited to the UAE Federal Decree-Law on Commercial Transactions, data protection regulations, and professional licensing requirements for linguistic services.
• Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the buyer shall be liable only for services rendered up to the effective date of termination.
• Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the United Arab Emirates Abu Dhabi region.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through arbitration in the United Arab Emirates Abu Dhabi in accordance with the UAE Arbitration Law.
