All on-site Translator Interpreter services under this Purchase Order shall be performed within the United States Chicago city limits and its immediate suburban counties, including Cook, DuPage, and Lake Counties. The primary service hub for this engagement is located at 233 S Wacker Drive, Chicago, IL 60606. Remote interpretation sessions shall be conducted via encrypted video conferencing platforms approved by the Buyer's IT security department. The Translator Interpreter must confirm availability and punctuality no later than 24 hours prior to each scheduled session. All travel within the United States Chicago metropolitan area is included in the rates specified above and shall not be billed separately.
- Acceptance: This Purchase Order constitutes a binding offer. Acceptance by the Seller is confirmed by written acknowledgment within five (5) business days of the issue date. Failure to respond within this period shall render this Purchase Order void.
- Payment Terms: Net 30 days from the date of invoice submission. Payment shall be made via ACH transfer to the Seller's designated bank account. Invoices must reference this Purchase Order number (US-CHI-2025-04782) for proper accounting reconciliation.
- Confidentiality: The Translator Interpreter assigned to this engagement must execute a Non-Disclosure Agreement (NDA) prior to the first session. All client information, legal documents, and medical records encountered during service delivery in United States Chicago locations are subject to strict confidentiality under applicable Illinois state law and federal regulations.
- Quality Assurance: The Seller guarantees that the Translator Interpreter provided shall meet or exceed the accuracy standards set forth by the American Translators Association (ATA) and the National Council on Interpreting in Health Care (NCIHC). The Buyer reserves the right to request a replacement Translator Interpreter if performance falls below the agreed-upon standard.
- Cancellation Policy: The Buyer may cancel individual sessions with a minimum of 48 hours' written notice without penalty. Cancellation of the entire Purchase Order after the first session has been completed shall incur a 15% administrative fee on the remaining balance.
- Compliance: All services rendered under this Purchase Order shall comply with the laws of the State of Illinois and the federal laws of the United States. The Translator Interpreter must maintain valid professional liability insurance with a minimum coverage of $1,000,000 per occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois. Any disputes arising from this agreement shall be resolved through binding arbitration in United States Chicago, Cook County, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the United States Chicago area.
