All services under this Purchase Order shall be rendered primarily at the Purchasing Party's headquarters located in United States Los Angeles, California, or at such other locations within the United States Los Angeles metropolitan area as mutually agreed upon in writing. The Translator Interpreter is expected to be physically present at the designated site no later than thirty (30) minutes prior to the scheduled start of each engagement. For remote sessions, the Translator Interpreter must utilize a secure, encrypted video conferencing platform approved by the Purchasing Party's IT security division. All work product, including translated documents and interpretation notes, must be stored in compliance with the California Consumer Privacy Act (CCPA) and applicable United States federal data protection regulations.
Payment for all services rendered under this Purchase Order shall be made via wire transfer to the Service Provider's designated bank account within thirty (30) days of receipt of a valid invoice. Invoices must reference this Purchase Order number (US-LA-2025-04872) and itemize all hours worked, pages translated, and documents processed. A late payment penalty of 1.5% per month shall apply to any outstanding balance exceeding the net-30 period. The Purchasing Party reserves the right to withhold payment for any services not rendered in accordance with the quality standards specified herein. All amounts are stated in United States Dollars (USD) and are subject to applicable California state sales tax and federal withholding as required by law.
The Translator Interpreter engaged under this Purchase Order must adhere to the highest professional standards of accuracy, confidentiality, and cultural sensitivity. All oral interpretation must be delivered in consecutive or simultaneous mode as directed by the Purchasing Party's project lead. Written translations must be reviewed by a second certified linguist before final delivery. The Service Provider shall submit a monthly performance report detailing hours logged, quality metrics, and any incidents or deviations from the agreed scope. Failure to meet the established quality benchmarks for two consecutive months shall constitute material breach of this Purchase Order and entitle the Purchasing Party to terminate the engagement with immediate effect.
The Translator Interpreter acknowledges that all information accessed during the performance of services under this Purchase Order constitutes proprietary and confidential information of Pacific Rim International Trade Group, LLC. The Translator Interpreter shall execute a separate Non-Disclosure Agreement (NDA) prior to commencing any work. All documents, recordings, and notes related to the engagement must be returned or securely destroyed upon termination of this Purchase Order. Breach of confidentiality shall result in immediate termination and liability for damages in accordance with California Civil Code Section 1708.8 and applicable United States federal trade secret laws.
This Purchase Order shall remain in effect from the date of execution through December 31, 2025, unless terminated earlier by either party with thirty (30) days written notice. Either party may terminate this Purchase Order immediately for cause, including but not limited to material breach, insolvency, or failure to maintain required professional certifications. This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States, and any disputes arising hereunder shall be resolved through binding arbitration in United States Los Angeles, California, in accordance with the rules of the American Arbitration Association. The prevailing party in any dispute shall be entitled to recover reasonable attorney's fees and costs.
The Service Provider warrants that the Translator Interpreter assigned to this Purchase Order is fully insured, including general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) coverage of no less than $1,000,000. The Service Provider shall indemnify and hold harmless the Purchasing Party from any claims, losses, or damages arising from the negligence or willful misconduct of the Translator Interpreter. This Purchase Order represents the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements. No amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
