- Scope of Work: The Translator Interpreter shall provide all services listed in this Purchase Order in accordance with the highest professional standards recognized by the American Translators Association (ATA) and the International Organization for Standardization (ISO 13171). All oral interpretation and written translation deliverables must be completed with accuracy, confidentiality, and cultural sensitivity appropriate for the United States New York City business environment.
- Service Location: All on-site services shall be performed within the five boroughs of the United States New York City, primarily at the buyer's headquarters at 350 Fifth Avenue and at the Javits Center, 6th Avenue, New York, NY 10036. Travel within the United States New York City limits is included in the rates specified above.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid invoice. The buyer shall remit payment via wire transfer to the seller's designated bank account. A 1.5% monthly late fee shall apply to any overdue balance on this Purchase Order.
- Confidentiality: The Translator Interpreter agrees to maintain strict confidentiality regarding all documents, conversations, and proprietary information encountered during the performance of services under this Purchase Order. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services.
- Substitution and Cancellation: The seller may substitute a qualified Translator Interpreter of equivalent or superior credentials with forty-eight (48) hours' written notice. The buyer may cancel any scheduled service with seventy-two (72) hours' notice without penalty; cancellations within seventy-two hours shall incur a 50% fee of the scheduled session cost.
- Compliance: All services rendered under this Purchase Order shall comply with applicable federal, state, and local laws of the State of New York and the United States New York City municipal code. The seller warrants that the Translator Interpreter holds valid professional credentials and is authorized to perform interpretation and translation services in the United States New York City jurisdiction.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in the United States New York City under the rules of the American Arbitration Association. The governing law shall be the laws of the State of New York.
- Validity: This Purchase Order is valid for a period of thirty (30) days from the date of issue. Acceptance of this Purchase Order constitutes full agreement to all terms and conditions stated herein.
