1. Description of ServicesThis Purchase Order is issued by Pacific Gateway International Holdings, Inc. to formally authorize and procure the professional services of a certified Translator Interpreter for use in all corporate, legal, and public-facing engagements conducted within the United States San Francisco metropolitan area. The Translator Interpreter engaged under this Purchase Order shall provide simultaneous and consecutive interpretation, as well as written translation services, in the following language pairs: English to Mandarin Chinese, English to Spanish, English to Japanese, and English to Korean. All services shall be rendered in compliance with the professional standards established by the American Translators Association (ATA) and the National Association of Judiciary Interpreters and Translators (NAJIT).
The Translator Interpreter shall be available for a minimum of 120 hours per quarter, with the primary service location being the buyer's headquarters at 1455 Market Street, United States San Francisco. Additional service locations within the United States San Francisco area, including but not limited to the San Francisco Superior Court, the California State Capitol in Sacramento (within 100 miles of San Francisco), and the Moscone Center for trade exhibitions, are covered under this Purchase Order.

- Scope of Work: The Translator Interpreter shall perform all duties as outlined in this Purchase Order with professional accuracy, confidentiality, and adherence to the ethical code of conduct governing language services in the State of California. The Translator Interpreter must hold a valid ATA certification or equivalent credential recognized in the United States San Francisco jurisdiction.
- Confidentiality: All documents, conversations, and proprietary information encountered during the course of interpreting or translating for the buyer in United States San Francisco shall be treated as strictly confidential. The Translator Interpreter shall sign a Non-Disclosure Agreement (NDA) prior to commencing any work under this Purchase Order.
- Payment Terms: Invoices shall be submitted monthly, no later than the 5th business day following the end of each calendar month. Payment shall be made via ACH transfer within thirty (30) days of invoice receipt. Late payments shall accrue interest at 1.5% per month. All payments are subject to the terms stipulated in this Purchase Order.
- Service Location: The primary and default service location for all Translator Interpreter engagements under this Purchase Order is the buyer's office in United States San Francisco. Travel within the San Francisco Bay Area is included in the hourly rate. Travel beyond a 50-mile radius of downtown San Francisco shall be billed at $0.85 per mile plus applicable parking and toll fees.
- Performance Standards: The Translator Interpreter shall maintain a minimum 98% accuracy rate as verified by quarterly quality-assurance audits conducted by the buyer's Legal Department in United States San Francisco. Failure to meet this standard for two consecutive quarters shall constitute grounds for termination of this Purchase Order with thirty (30) days' written notice.
- Substitution: The vendor may not substitute the assigned Translator Interpreter without prior written approval from the buyer. Any substitute must hold equivalent or superior credentials and must be pre-approved by the buyer's Procurement Manager in United States San Francisco.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall complete all in-progress translation and interpretation assignments and submit a final invoice within fifteen (15) days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States San Francisco, California, in accordance with the rules of the American Arbitration Association.
- Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 in aggregate, valid throughout the term of this Purchase Order in the United States San Francisco area.
