1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon written acceptance. All services described herein shall be performed exclusively in Vietnam Ho Chi Minh City unless a written amendment is executed by both parties.
2. The Supplier shall assign a qualified Translator Interpreter who holds a recognized certification in Vietnamese-English interpretation (e.g., from the Vietnam Association of Translators and Interpreters or an equivalent international body). The assigned Translator Interpreter must present valid identification and professional credentials upon arrival at the service location in Vietnam Ho Chi Minh City.
3. All interpretation and translation work must maintain strict confidentiality. The Translator Interpreter shall sign a Non-Disclosure Agreement (NDA) prior to commencing any duties under this Purchase Order. Any breach of confidentiality shall result in immediate termination and financial penalties as stipulated in the NDA.
4. Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via bank transfer to the Supplier's designated account. The Supplier must issue a valid VAT invoice in accordance with Vietnamese tax regulations.
5. The Supplier guarantees that the Translator Interpreter will arrive at least thirty (30) minutes before the scheduled start time of each session in Vietnam Ho Chi Minh City. Failure to do so without prior written notice shall result in a 10% deduction from the applicable hourly rate for that session.
6. Any additional hours or services beyond the scope defined in this Purchase Order must be pre-approved in writing by the Buyer's Procurement Manager. Unauthorized extra services will not be compensated.
7. This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vietnam Ho Chi Minh City in accordance with the rules of the Vietnam International Arbitration Centre (VIAC).
8. The Supplier shall maintain professional liability insurance with a minimum coverage of USD 100,000 for the duration of the engagement. Proof of insurance must be provided to the Buyer before the first day of service delivery.
