- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, specifically Federal Law No. 14.133/2021 (Nova Lei de Licitações e Contratações Públicas) and the internal procurement regulations of UFRJ, Rio de Janeiro.
- Payment Terms: Payment for the University Lecturer services shall be made on a monthly basis, within 30 (thirty) calendar days following the end of each calendar month, via electronic bank transfer (TED/PIX) to the account designated by the supplier. All payments are subject to applicable Brazilian tax withholdings (IRRF, INSS, and IRRF as applicable).
- Performance Period: The University Lecturer engagement shall commence on 01 September 2025 and conclude on 28 February 2026, corresponding to the 2025/2 academic semester at UFRJ, Rio de Janeiro, Brazil.
- Working Hours and Location: The University Lecturer shall perform all duties at the FEA campus in Botafogo, Rio de Janeiro, RJ, Brazil, observing the standard academic calendar and the 40-hour weekly work schedule as established by Brazilian federal public service norms.
- Intellectual Property: All course materials, lecture notes, examination papers, and research outputs produced by the University Lecturer in the course of this Purchase Order shall be the property of UFRJ, subject to the academic freedom provisions of the Brazilian Constitution (Art. 206).
- Confidentiality: The University Lecturer agrees to maintain strict confidentiality regarding student records, institutional data, and unpublished research in accordance with Brazil's General Data Protection Law (LGPD — Lei 13.709/2018).
- Termination: Either party may terminate this Purchase Order with 30 (thirty) days' written notice. Early termination by the institution without cause shall entitle the University Lecturer to proportional compensation for services rendered up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Rio de Janeiro, RJ, Brazil, or through arbitration at the Câmara de Mediação e Arbitragem da FGV-RJ, as elected by the parties.
- Compliance: The University Lecturer warrants full compliance with all applicable Brazilian labor, tax, and educational regulations, and shall maintain valid professional registration with the relevant regulatory bodies in Rio de Janeiro and the state of Rio de Janeiro.
