Terms and Conditions
- This Purchase Order constitutes a binding agreement between the Issuing Institution and the University Lecturer for the provision of academic services within the Canada Montreal metropolitan area, specifically at the UQAM campus located in the Ville-Marie borough of Montreal, Quebec.
- The University Lecturer shall comply with all applicable federal and provincial regulations of Canada, including the Quebec Charter of the French Language (Bill 101), ensuring that all instructional materials and examinations are prepared in French or bilingual formats as mandated by the institution.
- Payment shall be processed via electronic funds transfer (EFT) to the University Lecturer's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed by the Quebec Civil Code.
- The University Lecturer is engaged as an independent contractor and not as an employee of the institution. The University Lecturer is responsible for all applicable income tax withholdings, Canada Pension Plan (CPP) contributions, and Quebec Pension Plan (QPP) contributions as required by Canadian tax law.
- All intellectual property, course materials, and examination papers created by the University Lecturer in the performance of this Purchase Order shall become the property of the institution upon completion of the academic term, subject to the University Lecturer retaining the right to use such materials for personal academic research.
- The University Lecturer shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000, valid throughout the Canada Montreal region, for the duration of this engagement.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the University Lecturer shall be compensated for all services rendered up to the effective date of termination.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Montreal, Quebec, in accordance with the Quebec Arbitration Act.
- The University Lecturer agrees to maintain a professional code of conduct consistent with the institution's policies, including but not limited to the anti-harassment policy, academic integrity standards, and the duty of care owed to students within the Canada Montreal academic community.
- This Purchase Order is valid for the 2025–2026 academic year only. Renewal for subsequent academic years shall require a new Purchase Order issued by the institution's procurement office.
