Terms and Conditions of This Purchase Order
- This Purchase Order is issued by the University of Toronto, located in Canada Toronto, and governs the engagement of the named University Lecturer for the academic year 2025–2026. All terms are subject to the University's Faculty Appointment and Contractual Services Policy.
- The University Lecturer shall perform all teaching, supervisory, and academic duties at the University of Toronto campus in Toronto, Ontario, Canada, or at such other locations within the Canada Toronto metropolitan area as may be designated by the Department Chair.
- Payment terms: Net 30 days from the date of invoice submission. Invoices must reference this Purchase Order number (UOT-2025-FL-04872) and be submitted to the University of Toronto Accounts Payable Department, 251 Bloor Street West, Toronto, Canada. Payment shall be made via electronic funds transfer (EFT) to the University Lecturer's designated Canadian bank account.
- The University Lecturer is engaged as an independent contractor and not as an employee of the University of Toronto. The University Lecturer is responsible for all applicable federal and provincial income tax obligations under the Canada Revenue Agency (CRA) guidelines applicable in Canada Toronto.
- All intellectual property, course materials, examination papers, and research outputs created specifically for the University of Toronto under this Purchase Order shall remain the property of the University, in accordance with Canadian intellectual property law and the University's IP Policy.
- The University Lecturer shall comply with all applicable federal, provincial (Ontario), and municipal regulations governing higher education in Canada Toronto, including but not limited to the Ontario College of Teachers standards, the University of Toronto's Code of Conduct, and the Canada Toronto Municipal Code regarding public assembly and use of university facilities.
- This Purchase Order may be amended only by written agreement signed by both parties. Any material change to the scope of the University Lecturer's duties, compensation, or delivery schedule requires a formal amendment to this document.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the University Lecturer shall be compensated for all services rendered up to the effective date of termination, less any applicable deductions.
- Confidentiality: The University Lecturer shall maintain strict confidentiality regarding student records, unpublished research, and internal University of Toronto communications, in compliance with the Freedom of Information and Protection of Privacy Act (FIPPA) of Ontario, Canada.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes shall be resolved through the University of Toronto's internal dispute resolution process before resorting to litigation in the courts of Ontario, Canada.
- This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the University Lecturer and supersedes all prior negotiations, representations, or agreements, whether written or oral.
