- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the Higher Education Law of the PRC. Any disputes arising from this Purchase Order related to the University Lecturer engagement shall be resolved through the Beijing Arbitration Commission (BAC) in Beijing, China.
- Delivery / Commencement: The University Lecturer shall commence all teaching and supervisory duties no later than 1 September 2025, coinciding with the start of the Autumn 2025 academic semester at the Beijing campus. All laboratory equipment and materials listed in Item 03 shall be delivered and installed in Building C, Room C-214, no later than 25 August 2025.
- Payment Terms: Payment shall be made in three installments: 40% upon execution of this Purchase Order, 40% upon completion of the mid-semester evaluation (week 10), and the remaining 20% upon satisfactory completion of all deliverables and submission of the final semester report. All payments shall be processed via bank transfer in Chinese Yuan (CNY) to the account specified in Section 2.
- Compliance: The University Lecturer agrees to comply with all regulations set forth by the Ministry of Education of China, the Beijing Municipal Education Commission, and the internal academic governance policies of BIUST. The University Lecturer shall maintain a valid work permit and residence permit for foreign academic personnel in Beijing throughout the duration of this Purchase Order.
- Intellectual Property: All course materials, lecture notes, laboratory manuals, and research outputs produced by the University Lecturer in the course of fulfilling this Purchase Order shall be jointly owned by the University Lecturer and BIUST, with BIUST retaining the right to use such materials for internal academic purposes at its Beijing campus.
- Confidentiality: The University Lecturer shall treat all student records, institutional data, and unpublished research as strictly confidential in accordance with the Personal Information Protection Law of the PRC (effective 1 November 2021).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the University Lecturer shall be compensated for services rendered up to the date of termination, and all university-issued equipment and access credentials must be returned to the Beijing campus within five (5) business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures of educational institutions in Beijing, or public health emergencies as declared by the Chinese government.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the University Lecturer at the Beijing campus of BIUST.
