All payments under this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the account designated by the University Lecturer. The payment schedule is structured as follows:

A Value-Added Tax (VAT) invoice at the applicable rate of 6% for modern service industries shall be issued by the University Lecturer prior to each payment disbursement, in compliance with the tax regulations of the Shanghai Municipal Tax Bureau.
- Qualification and Compliance: The University Lecturer warrants that she holds a valid Ph.D. in Economics from a recognized institution and possesses a current work permit (Foreign Expert Certificate) issued by the Shanghai Municipal Human Resources and Social Security Bureau, authorizing her to provide academic services in China Shanghai.
- Intellectual Property: All lecture materials, syllabi, assessment instruments, and research outputs created specifically for the University under this Purchase Order shall become the exclusive intellectual property of Shanghai International University of Science & Technology upon full payment. The University Lecturer retains the right to use pre-existing materials for personal academic purposes.
- Confidentiality: The University Lecturer agrees to maintain strict confidentiality regarding student records, unpublished research data, internal University deliberations, and any proprietary information encountered during the course of service delivery in China Shanghai.
- Performance Standards: The University Lecturer shall maintain a minimum student satisfaction rating of 4.2 out of 5.0 as assessed through the University's end-of-term evaluation system. Failure to meet this standard for two consecutive terms shall constitute grounds for early termination of this Purchase Order with 30 days' written notice.
- Insurance and Liability: The University Lecturer shall maintain professional indemnity insurance with a minimum coverage of CNY 1,000,000 for the duration of the engagement. The University shall provide public liability coverage for all activities conducted on its Shanghai campus premises.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the University shall pay for all services rendered up to the termination date, and the University Lecturer shall deliver all completed and in-progress materials to the University's Office of Academic Affairs.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be submitted to the Shanghai International Arbitration Center (SHIAC) for arbitration in Shanghai, in accordance with its then-current arbitration rules. The arbitration shall be conducted in English, and the award shall be final and binding.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in China Shanghai.
- Anti-Corruption: The University Lecturer represents and warrants that no bribe, kickback, or improper payment has been offered or made in connection with the procurement process leading to this Purchase Order, in compliance with the Anti-Unfair Competition Law of the PRC.
This Purchase Order is issued under the authority of the University's Board of Directors and the Office of Academic Affairs. By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the University Lecturer in China Shanghai.
