4. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Civil Code, the Egyptian Public Procurement Law No. 182 of 2018, and the internal academic regulations of Alexandria University. Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the competent courts in Alexandria, Egypt.
  2. Payment Terms: Payment for the University Lecturer services shall be made in three equal installments of EGP 50,200.00 each, due at the end of each academic term (October 2025, January 2026, and May 2026). Payment shall be processed via bank transfer to the account designated by the University Lecturer, subject to the Egyptian Central Bank regulations on domestic transfers. A 10% withholding tax as mandated by the Egyptian Tax Authority shall be deducted from each installment.
  3. Performance Period: The University Lecturer shall render all services between 1 October 2025 and 30 May 2026, in accordance with the official academic calendar of Alexandria University. All lectures, seminars, and laboratory sessions shall be conducted at the designated facilities within the Alexandria University campus or its affiliated laboratories in the Smouha and Aboukir districts of Alexandria, Egypt.
  4. Qualification Requirements: The University Lecturer must hold a minimum of a Doctorate (Ph.D.) in Civil Engineering or a closely related discipline, possess a valid academic appointment letter recognized by the Egyptian Ministry of Higher Education, and maintain a minimum of five (5) years of post-doctoral teaching experience at a recognized university in Egypt or an equivalent international institution.
  5. Intellectual Property: All course materials, examination papers, research outputs, and academic content developed by the University Lecturer specifically for Alexandria University under this Purchase Order shall remain the exclusive intellectual property of the University. The University Lecturer retains the right to publish original research findings, provided that Alexandria University is acknowledged as the institutional affiliation in all such publications.
  6. Confidentiality: The University Lecturer shall maintain strict confidentiality regarding student records, examination content, internal university deliberations, and any proprietary information encountered during the course of engagement in Alexandria, Egypt. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  7. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination by Alexandria University for cause (including but not limited to academic misconduct, failure to meet performance standards, or violation of Egyptian academic integrity regulations), no further payment shall be due beyond the services actually rendered and verified by the Department Head.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters affecting the Alexandria region, government-mandated closures, civil unrest, or public health emergencies declared by the Egyptian government.
  9. Compliance with Egyptian Regulations: The University Lecturer shall comply with all applicable Egyptian labor regulations, academic accreditation standards set by the National Authority for Quality Assurance and Accreditation (NAQAA), and the specific bylaws of Alexandria University governing the engagement of external and adjunct academic personnel.
5. AUTHORIZATION AND ACCEPTANCE

By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the University Lecturer at Alexandria University, Egypt. This document constitutes a binding agreement effective from the date of the last signature.
