3.1 Scope of Engagement. The University Lecturer shall perform all duties described in Section 2 of this Purchase Order in a professional, diligent, and academically rigorous manner consistent with the standards expected of a University Lecturer at a public research university in Germany Munich. The University Lecturer is an independent contractor and not an employee of the Purchaser.
3.2 Payment Terms. Payment shall be made within 30 calendar days of receipt of a valid invoice from the University Lecturer. Invoices must reference this Purchase Order number (PO-2025-MUC-UL-0472) and include the University Lecturer's registered tax identification number (Steuernummer) and VAT identification number (USt-IdNr.) as required by German fiscal law. Payment shall be processed via bank transfer to the account designated by the University Lecturer.
3.3 Performance Period. The services under this Purchase Order shall commence on 1 October 2025 and conclude on 31 January 2026, corresponding to the Winter Semester of the academic year 2025/2026 at the Germany Munich campus. Any extension beyond this period requires a written amendment to this Purchase Order signed by both parties.
3.4 Cancellation and Termination. Either party may terminate this Purchase Order with 14 days' written notice. In the event of early termination by the Purchaser without cause, the University Lecturer shall be compensated for all services rendered up to the termination date plus a cancellation fee of 10% of the remaining contract value. Termination by the University Lecturer without cause is subject to the same 14-day notice period.
3.5 Intellectual Property. All lecture materials, syllabi, case studies, and digital resources created specifically for this Purchase Order engagement shall become the property of Ludwig-Maximilians-Universität München upon full payment. The University Lecturer retains the right to use pre-existing materials and to publish original research independently.
3.6 Data Protection and Compliance. The University Lecturer shall comply with the General Data Protection Regulation (GDPR / DSGVO) and the Bavarian Data Protection Act (BayDSG) when handling student data. All personal data processed in connection with this Purchase Order shall be stored on secure servers located within Germany Munich or the European Economic Area.
3.7 Governing Law and Jurisdiction. This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Munich (Landgericht München I).
3.8 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures of the Germany Munich campus, or acts of war.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the University Lecturer in Germany Munich.
