1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of India, specifically the Indian Contract Act, 1872, and the applicable regulations of the University Grants Commission (UGC), New Delhi.
2. The University Lecturer engaged under this Purchase Order shall be subject to the service rules and regulations of the University of Mumbai, India Mumbai, including but not limited to the code of conduct, attendance policy, and academic performance evaluation criteria.
3. Payment shall be made via electronic bank transfer (NEFT/RTGS) to the designated account of the Supplier within thirty (30) days of receipt of a valid tax invoice. All payments shall be subject to applicable TDS (Tax Deducted at Source) deductions as per the Income Tax Act, 1961 of India.
4. The Supplier shall ensure that the University Lecturer possesses all necessary qualifications, including a valid Ph.D. degree, UGC NET/SET qualification, and any additional certifications required by the University of Mumbai for academic appointments in Mumbai.
5. The University Lecturer shall be required to complete a minimum of 120 contact hours per academic year, including lectures, tutorials, laboratory supervision, and examination duties, as prescribed by the University of Mumbai academic calendar.
6. Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Supplier shall facilitate the orderly transition of the University Lecturer's academic responsibilities to a successor or the University's internal faculty.
7. All disputes arising from this Purchase Order shall be resolved through arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, and the language of arbitration shall be English.
8. The Supplier warrants that the University Lecturer shall not be under any non-compete or restrictive covenant with any other institution in India or abroad at the time of engagement under this Purchase Order.
9. This Purchase Order is valid for a period of one (1) academic year, commencing on 1st August 2025 and concluding on 31st July 2026, unless renewed in writing by both parties.
10. All intellectual property developed by the University Lecturer during the tenure of this Purchase Order while utilizing University of Mumbai resources shall vest in the University, in accordance with the University's IP policy and the Indian Patents Act, 1970.
