- Scope of Engagement: This Purchase Order authorizes the engagement of the named University Lecturer to perform the academic duties and professional services as itemized in Section 3. The University Lecturer shall comply with all academic standards, ethical guidelines, and institutional policies of the Hebrew University of Jerusalem, located in Israel Jerusalem.
- Commencement and Duration: Services shall commence on 1 September 2025 and conclude on 30 June 2026, aligning with the standard academic calendar of the institution in Israel Jerusalem. Any extension beyond this period requires a formal amendment to this Purchase Order.
- Payment Terms: Payment shall be made in four (4) equal quarterly instalments of ILS 41,152.50 each, due on the last business day of each quarter. Payment shall be processed via bank transfer to the account specified in Section 2. Late payments shall accrue interest at the rate prescribed by the Israeli Interest Law, 5731-1971.
- Performance Standards: The University Lecturer is expected to maintain a minimum student satisfaction rating of 85% as measured by the institution's internal evaluation system. Failure to meet this threshold for two consecutive evaluation cycles may result in termination of this Purchase Order with thirty (30) days' written notice.
- Intellectual Property: All course materials, lecture notes, examination papers, and digital resources created specifically for this engagement shall remain the property of the Hebrew University of Jerusalem. The University Lecturer retains ownership of pre-existing research and publications.
- Compliance with Israeli Law: This Purchase Order is governed by and shall be interpreted in accordance with the laws of the State of Israel. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Israel Jerusalem.
- Confidentiality: The University Lecturer shall treat all student records, internal institutional data, and unpublished research materials as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the University Lecturer shall be compensated for all services rendered up to the effective date of termination, less any amounts already paid.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to circumstances beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or public health emergencies affecting the Israel Jerusalem region.
- Anti-Corruption: The University Lecturer warrants that no kickbacks, bribes, or improper inducements have been offered or accepted in connection with this Purchase Order, in full compliance with the Israeli Prevention of Corruption Law, 5738-1978.
