  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, with exclusive jurisdiction vested in the Tribunale di Napoli, Naples, Italy. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Naples.
  2. Payment Schedule: Payment shall be made in quarterly instalments via bank transfer to the University Lecturer's designated Italian bank account (IBAN to be provided). The first instalment of 25% is due upon execution of this Purchase Order; subsequent instalments of 25% each are due at the end of each academic quarter. Final settlement, including any outstanding examination fees, shall be completed within 30 days of the conclusion of the academic year.
  3. Performance Obligations: The University Lecturer shall maintain a minimum attendance rate of 95% across all scheduled teaching sessions. Absences exceeding three consecutive days must be reported in writing to the Department Head at least 48 hours in advance, and a substitute lecturer approved by the institution must be arranged at the University Lecturer's expense.
  4. Intellectual Property: All lecture notes, course materials, research papers, and digital content created specifically for this engagement shall remain the property of the Università degli Studi di Napoli Federico II. The University Lecturer retains the right to reference the work in future academic publications with proper attribution.
  5. Compliance with Italian Regulations: The University Lecturer shall comply with all applicable Italian labour, tax, and data protection regulations, including the GDPR (Regulation (EU) 2016/679) and the Italian Privacy Code (D.Lgs. 196/2003 as amended). The University Lecturer is responsible for declaring all income to the Agenzia delle Entrate (Italian Revenue Agency) in Naples.
  6. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination for cause, the terminating party must provide a detailed written justification. Upon termination, all completed services shall be invoiced and paid in full within 30 days.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the Naples metropolitan area.
  8. Confidentiality: Both parties agree to maintain strict confidentiality regarding student records, unpublished research, and internal institutional communications. This obligation survives the termination of this Purchase Order for a period of five years.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms set forth in this Purchase Order. This document constitutes a binding agreement for the engagement of the University Lecturer in Naples, Italy, and supersedes all prior negotiations, correspondence, and understandings between the parties.
