2. SCOPE OF ENGAGEMENTThis Purchase Order is issued by Sapienza University of Rome to formally engage the services of Dr. Giacomo Ferrante as a University Lecturer for the 2025/2026 academic year. The engagement pertains to the delivery of academic instruction, supervision, and related scholarly activities within the Department of International Studies, located in the historic campus of Rome, Italy. The University Lecturer shall be responsible for teaching, curriculum development, student mentorship, and participation in departmental governance in accordance with the statutes of the institution and the provisions of Italian Legislative Decree No. 24/1999 (Mourino Law) and subsequent amendments governing university personnel and academic appointments.

- Governing Law: This Purchase Order and the resulting engagement of the University Lecturer shall be governed by and construed in accordance with the laws of the Italian Republic, with particular reference to the Italian Civil Code (Codice Civile), Legislative Decree 24/1999, and the internal regulations (Statuto) of Sapienza University of Rome. Any disputes shall be submitted to the competent courts of Rome, Italy.
- Commencement and Duration: The University Lecturer's engagement shall commence on 1 October 2025 and conclude on 30 June 2026, corresponding to the standard Italian academic year. The Purchase Order is valid for acceptance until 14 September 2025.
- Payment Terms: Payment shall be made in monthly instalments via bank transfer (bonifico bancario) to the IBAN specified above, within 30 days of the end of each calendar month. The University Lecturer shall issue a regular invoice (fattura elettronica) through the Italian electronic invoicing system (Sistema di Interscambio – SdI) in compliance with Ministerial Decree 17/2022. Withholding tax (ritenuta d'acconto) of 20% shall be applied as per Italian tax regulations for professional services.
- Working Location: All teaching, supervision, and governance activities shall be conducted at the Sapienza University of Rome campus, Piazza Aldo Moro, 5, 00185 Roma, or at such other location within the municipality of Rome as may be designated by the Department. The University Lecturer is expected to be physically present in Rome for a minimum of four (4) days per week.
- Intellectual Property: All course materials, syllabi, lecture notes, and curricula developed specifically for Sapienza University of Rome under this Purchase Order shall remain the property of the University. The University Lecturer retains full intellectual property rights over pre-existing works and independent research publications.
- Confidentiality: The University Lecturer shall maintain strict confidentiality regarding student records, examination content, internal university deliberations, and any proprietary academic materials in accordance with Italian data protection regulations (GDPR and D.Lgs. 196/2003 as amended).
- Termination: Either party may terminate this engagement with a written notice of thirty (30) days. The University may terminate immediately for cause, including but not limited to gross misconduct, failure to meet teaching obligations, or violation of the University's code of conduct. In the event of termination, payment shall be made pro-rata for services rendered up to the effective date of termination.
- Insurance and Liability: The University Lecturer shall maintain adequate professional liability insurance (RC professionale) throughout the duration of the engagement. The University shall provide institutional liability coverage for activities conducted on its premises in Rome.
- Compliance with Italian Academic Regulations: The University Lecturer shall comply with all applicable Italian Ministry of University and Research (MUR) directives, the Bologna Process framework, and the specific provisions of the Sapienza University of Rome Statute regarding part-time and external academic staff.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, public health emergencies, or government-mandated closures of university facilities in Rome, Italy.
