7. Termination: Either party may terminate this Purchase Order with a written notice of 30 days. In the event of termination for cause, the University Lecturer shall be compensated for services rendered up to the date of termination, less any damages incurred by the university.
8. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to amicable negotiation. Failing resolution within 30 days, the matter shall be referred to the competent courts of Abidjan, Ivory Coast.
9. Tax Obligations: All applicable withholding taxes under Ivorian fiscal law (Code Général des Impôts) shall be deducted at source. The University Lecturer is responsible for declaring and paying any personal income tax due on the compensation received.
10. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to civil unrest, epidemics, or government-mandated closures of educational institutions in Ivory Coast Abidjan.

This Purchase Order constitutes a formal and binding procurement instrument for the engagement of the named University Lecturer at the Université Félix Houphouët-Boigny, Ivory Coast Abidjan.
