4.1 — This Purchase Order constitutes a binding agreement between the Kyoto Institute of Advanced Studies and the named University Lecturer for the duration specified herein. All services shall be rendered in accordance with the academic calendar of the Kyoto campus and the regulations of the Japanese Ministry of Education, Culture, Sports, Science and Technology (MEXT).
4.2 — The University Lecturer shall maintain all professional qualifications, academic credentials, and any required teaching permits valid in Japan throughout the engagement period. Failure to maintain such credentials shall constitute grounds for immediate termination of this Purchase Order.
4.3 — Payment shall be disbursed in quarterly instalments of JPY 2,455,750 (inclusive of consumption tax), due within thirty (30) calendar days of the University Lecturer’s submission of a valid invoice to the Procurement Office in Kyoto.
4.4 — The University Lecturer is engaged as an independent academic consultant and not as an employee of the Kyoto Institute. All tax obligations, including Japanese income tax and social insurance contributions, remain the sole responsibility of the University Lecturer.
4.5 — Any intellectual property, course materials, or research outputs created by the University Lecturer specifically for the Kyoto Institute during the term of this Purchase Order shall be jointly owned, with the University Lecturer retaining the right to publish and present such work in academic forums.
4.6 — The University Lecturer shall comply with all data protection regulations applicable in Japan, including the Act on the Protection of Personal Information (APPI), when handling student records and research data at the Kyoto campus.
4.7 — This Purchase Order may be amended only by mutual written consent of both parties. Any changes to scope, duration, or compensation must be documented in a formal addendum signed by authorised representatives of both the Kyoto Institute and the University Lecturer.
All services under this Purchase Order shall commence on 1 September 2025 at the Kyoto Institute of Advanced Studies, Fukakusa Campus, located in Sakyo-ku, Kyoto, Japan. The University Lecturer is expected to be present on the Kyoto campus for all scheduled teaching and supervisory activities. In the event of force majeure, including but not limited to natural disasters common to the Kyoto region (typhoons, seismic activity), the University Lecturer shall notify the Procurement Office within 48 hours, and a mutually agreed postponement schedule shall be established.
