This Purchase Order is issued by Kansai Regional University of Applied Sciences to formally engage Prof. Dr. Yuki Nakamura, a qualified University Lecturer, to deliver academic instruction, curriculum development, and research supervision within the Japan Osaka metropolitan academic district. - This Purchase Order constitutes a binding agreement between the Buyer and the University Lecturer upon signature by both parties. All services shall be rendered at the designated Osaka campus facilities unless otherwise agreed in writing.
- The University Lecturer shall comply with all applicable Japanese labor regulations, tax obligations, and institutional policies of the Buyer. The engagement is classified as an independent contractor arrangement under Japanese civil law (Civil Code Article 632 and following).
- Payment shall be processed via bank transfer to the account designated by the University Lecturer within 30 calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-OSK-2025-04782) and include the registered tax identification number.
- All intellectual property created specifically for the Buyer during the scope of this Purchase Order, including lecture notes, examination papers, and curriculum materials, shall be the property of Kansai Regional University of Applied Sciences. Pre-existing materials of the University Lecturer remain the property of the Lecturer.
- The University Lecturer shall maintain professional liability insurance with a minimum coverage of 50,000,000 JPY throughout the engagement period in Japan Osaka.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall compensate the University Lecturer for all services rendered up to the effective date of termination.
- All disputes arising from this Purchase Order shall be resolved through mediation under the rules of the Osaka Arbitration Center before proceeding to litigation in the Osaka District Court.
- The University Lecturer agrees to maintain confidentiality regarding student records, institutional data, and proprietary academic materials in accordance with the Japanese Act on the Protection of Personal Information (APPI).
- This Purchase Order is governed by the laws of Japan. The primary place of performance is the Osaka campus of the Buyer.
By signing below, both parties acknowledge that this Purchase Order accurately reflects the agreed terms for the engagement of the University Lecturer and that all services will be delivered in the Japan Osaka region as specified herein.
