TERMS AND CONDITIONS
- This Purchase Order constitutes a binding procurement agreement between Lomonosov Moscow State University (hereinafter "the Institution") and Academic Talent Solutions LLC (hereinafter "the Vendor") for the engagement of a qualified University Lecturer and the procurement of associated academic goods and services in Moscow, Russia.
- The University Lecturer engaged under this Purchase Order must hold a minimum of a Candidate of Sciences (Kand. Nauk) degree or equivalent international doctoral qualification, and must demonstrate a minimum of five (5) years of post-doctoral teaching experience in a relevant academic discipline.
- All services rendered by the University Lecturer shall be performed at the Institution's primary campus located in Moscow, Russia, in accordance with the academic calendar published by the Ministry of Science and Higher Education of the Russian Federation for the 2025–2026 academic year.
- The Vendor shall ensure that the University Lecturer complies with all applicable Russian labor laws, including but not limited to the Labor Code of the Russian Federation, and that all necessary work permits, visas, and tax registrations are obtained prior to the commencement of duties in Moscow.
- Payment shall be processed via bank wire transfer to the Vendor's designated account in Russian Rubles (RUB) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.05% per day as stipulated by Article 317.1 of the Civil Code of the Russian Federation.
- The University Lecturer's performance shall be evaluated at the end of each semester by the Department Head and the Faculty Academic Council. Failure to meet the minimum teaching quality thresholds as defined in the Institution's internal regulations may result in early termination of this Purchase Order with thirty (30) days' written notice.
- All intellectual property, course materials, and research outputs created by the University Lecturer during the term of this Purchase Order while at the Moscow campus shall be the property of the Institution, subject to the terms of the individual employment contract.
- This Purchase Order is governed by the laws of the Russian Federation. Any disputes arising from this document shall be resolved through arbitration at the Arbitration Court of the City of Moscow in accordance with the applicable procedural rules.
- The Vendor warrants that all goods procured under this Purchase Order (teaching materials, equipment, software) shall be new, free from defects, and delivered to the specified location in Moscow, Russia, within the timelines stated in the line items above.
- This Purchase Order may not be amended, modified, or supplemented except by a written addendum signed by authorized representatives of both parties. Any such addendum must be registered with the Institution's Procurement Department in Moscow.
