This Purchase Order is issued by the State University of Saint Petersburg to formally engage the services of Dr. Alexander M. Petrov as a University Lecturer for the academic year 2025/2026. - Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable federal legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through the Arbitration Court of Saint Petersburg and Leningrad Region.
- Service Location: All academic services under this Purchase Order shall be performed at the premises of the State University of Saint Petersburg, located in Saint Petersburg, Russian Federation, unless otherwise agreed in writing by both parties. The University Lecturer acknowledges that the primary site of engagement is the Saint Petersburg campus and its affiliated research annexes within the city limits.
- Payment Terms: Payment shall be made in Russian Rubles (RUB) via bank transfer to the account specified in Section 2. Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within 15 business days of invoice receipt, in accordance with the University's financial regulations and the Federal Law on Budget Regulation of the Russian Federation.
- Performance Obligations: The University Lecturer shall maintain a minimum attendance rate of 95% for all scheduled lectures and seminars. Failure to meet this threshold without documented medical or official justification shall result in a proportional reduction of the contracted fee. The University Lecturer is expected to adhere to the academic calendar published by the Ministry of Science and Higher Education of the Russian Federation for the 2025/2026 academic year.
- Intellectual Property: All lecture materials, course content, and academic resources developed specifically for this Purchase Order engagement shall remain the property of the State University of Saint Petersburg. The University Lecturer retains the right to use general pedagogical methodologies and pre-existing personal research in their teaching.
- Confidentiality: The University Lecturer shall maintain strict confidentiality regarding student records, examination content, and internal University proceedings in Saint Petersburg. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The University may terminate immediately in the event of material breach, academic misconduct, or violation of Russian federal education standards. Upon termination, all outstanding fees for services rendered up to the termination date shall be settled within 30 days.
- Compliance: The University Lecturer warrants that they hold all necessary qualifications and permits to perform academic instruction in the Russian Federation. The University Lecturer confirms compliance with all anti-corruption provisions of the Russian Federation and declares no conflict of interest in relation to this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under Article 401 of the Civil Code of the Russian Federation, including but not limited to natural disasters, government-mandated closures of educational institutions in Saint Petersburg, or public health emergencies declared by the Russian Federation.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both the authorized representative of the University and the University Lecturer. Verbal agreements or informal communications shall not constitute a valid amendment to this document.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of University Lecturer services at the State University of Saint Petersburg, Russia. This document is issued in two (2) original copies, one for each party, both having equal legal force under Russian law.
