- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Republic of Senegal, including the Senegalese Public Procurement Code (Code des Marchés Publics) and the regulations of the Ministry of Higher Education and Scientific Research of Senegal. All disputes arising from this Purchase Order relating to the University Lecturer engagement in Dakar shall be resolved by the competent courts of Dakar, Senegal.
- Payment Terms: Payment for the University Lecturer services shall be made in monthly installments via bank transfer to the account designated by the University Lecturer. The first installment shall be due within 15 calendar days of the commencement of the academic term. All payments shall be denominated in West African CFA Francs (XOF) and processed through the University of Dakar’s central accounting office in Dakar, Senegal.
- Commencement and Duration: The University Lecturer engagement under this Purchase Order shall commence on 1 October 2025 and shall continue through 30 June 2026, subject to the academic calendar of the University of Dakar. Early termination may only occur with 60 days’ written notice in accordance with Senegalese labor and academic employment regulations.
- Performance Standards: The University Lecturer shall maintain a minimum teaching load of 18 contact hours per week, attend all departmental meetings held in Dakar, and submit course evaluations and grade reports by the deadlines established by the Faculty of Sciences. Failure to meet these standards for two consecutive evaluation periods may result in amendment or termination of this Purchase Order.
- Intellectual Property: All research outputs, publications, and teaching materials developed by the University Lecturer during the term of this Purchase Order while utilizing University of Dakar resources in Senegal shall be jointly owned by the University and the University Lecturer, as stipulated by Senegalese intellectual property law.
- Compliance and Ethics: The University Lecturer shall comply with all anti-corruption, anti-discrimination, and academic integrity policies of the University of Dakar and the Republic of Senegal. Any breach of ethical conduct shall constitute grounds for immediate termination of this Purchase Order without further compensation.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest in Dakar, Senegal, pandemics, or government-mandated closures of academic institutions.
- Confidentiality: All student records, research data, and internal university communications accessed by the University Lecturer in the course of duties in Dakar shall remain strictly confidential and shall not be disclosed to any third party without written authorization from the University of Dakar.
- Amendments: Any modification to this Purchase Order, including changes to the scope of the University Lecturer’s duties, compensation, or duration, must be documented in a written addendum signed by both parties and filed with the University of Dakar’s procurement office in Dakar, Senegal.
- Acceptance: This Purchase Order becomes effective upon signature by both the authorized representative of the University of Dakar and the University Lecturer. The University Lecturer’s acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and obligations herein.
