2. Description of Procured Services – University Lecturer Engagement
This Purchase Order formally authorises the engagement of a University Lecturer to deliver academic instruction, supervise research, and contribute to the scholarly mission of the University of Barcelona. 3. Terms and Conditions
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, specifically the Spanish Civil Code and the applicable regulations of the Generalitat de Catalunya. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
- Payment Terms: The University of Barcelona shall remit payment within 30 calendar days of receipt of a valid invoice. Payment shall be made via direct bank transfer (SEPA) to the University Lecturer's designated account. Invoices must include the University Lecturer's NIE, the Purchase Order reference number (PO-UB-2025-04872), and a detailed breakdown of services rendered.
- Commencement and Duration: The engagement of the University Lecturer shall commence on 1 September 2025 and conclude on 30 June 2026, covering the full academic year. The University Lecturer is expected to be physically present in Barcelona for all scheduled teaching and committee activities.
- Intellectual Property: All course materials, lecture notes, assessment instruments, and scholarly works produced specifically for the University of Barcelona under this Purchase Order shall remain the intellectual property of the University. The University Lecturer retains the right to publish original research independently, provided that no confidential student data is disclosed.
- Confidentiality: The University Lecturer agrees to maintain strict confidentiality regarding student records, examination content, and internal university deliberations in accordance with the Spanish Organic Law 3/2018 on Personal Data Protection (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination by the University without cause, the University Lecturer shall be compensated for all services rendered up to the termination date plus a pro-rata portion of the remaining contract value.
- Compliance: The University Lecturer warrants that they hold all necessary professional qualifications and registrations to deliver academic instruction in Spain. The University Lecturer shall comply with all applicable regulations of the Spanish Ministry of Universities and the Generalitat de Catalunya's Department of Education.
- Insurance and Liability: The University of Barcelona shall maintain institutional liability insurance covering all activities conducted on its premises in Barcelona. The University Lecturer shall be covered under the university's accident insurance scheme for the duration of the engagement.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures of educational institutions in Spain.
4. Authorisation and Acceptance
This Purchase Order is issued under the delegated authority of the University of Barcelona's Board of Governance, in accordance with the university's internal procurement regulations and the Spanish Public Sector Contracts Law (Ley 9/2017 de Contratos del Sector Público).
